Price Per Equivalent Share definition
Price Per Equivalent Share means the Board’s good faith determination of the price per Equivalent Share of any Convertible Securities or Options which are the subject of an Issuance pursuant to Section 5 hereof.
Price Per Equivalent Share means in the case of any Issuance -------------------------- pursuant to Section 7 hereof, the price per Equivalent Share included in the Issuance, calculated, in the case of Shares constituting Convertible Securities, with appropriate deductions for amounts in respect of accrued but unpaid interest or dividends added in determining the proceeds payable in the Issuance to the Company and, in the case of Options, with appropriate additions for amounts payable in the Issuance to the Company.
