For each Loan to be made hereunder, the Borrower shall deliver a written Irrevocable Loan Notice to the Lender appropriately completed and signed by a Principal Officer or any other officer or representative of the Borrower authorized by the board of directors of the Borrower, not later than 12:00 Noon, Plano, Texas time, fifteen (15) days prior to the requested Borrowing Date.
The Borrower will deliver to the Lender, within ten Business Days after any Principal Officer of the Borrower obtains knowledge of any Default, if such Default is then continuing, a certificate of a responsible officer of the Borrower setting forth the details thereof and the action which the Borrower is taking or proposes to take with respect thereto.
The Borrower may request to exercise the Term-Out Option by delivering to the Lender an executed Term-Out Conversion Notice appropriately completed and signed by a Principal Officer or any other officer or representative of the Borrower authorized by the board of directors of the Borrower not later than 12:00 Noon, Plano, Texas time, fifteen (15) days prior to the Commitment Termination Date.
