The Collateral Agent shall deposit promptly upon receipt thereof all other amounts remitted to the Collection Account into the Principal Collection Account including, in addition to the deposits required pursuant to Section 8.06(a), all Principal Proceeds (unless simultaneously reinvested in additional Collateral Assets in accordance with Article X) received by the Collateral Agent.
The Transferor acknowledges that all Interest Proceeds and Principal Proceeds received by it or its Affiliates with respect to the Transferred Assets Conveyed by the Transferee as contemplated by this Agreement are held and shall be held in trust for the benefit of the Transferee (or its assignees) until deposited into the Collection Account as required by the Credit Agreement.
It shall instruct the Collateral Agent to apply all Interest Proceeds and Principal Proceeds solely in accordance with the Priority of Payments and the other provisions of this Agreement.
The Transferor will not deposit or otherwise credit, or cause to be so deposited or credited, to the Collection Account cash or cash proceeds other than Principal Proceeds and Interest Proceeds in respect of the Transferred Assets.
The Collection Account is the only account to which Obligors have been instructed to send Interest Proceeds and Principal Proceeds in respect of the Transferred Assets Conveyed by the Transferor.
