Prior Agreements definition

Prior Agreements means the agreements listed on Schedule 8.2.8 attached hereto.

Prior Agreements means the distribution agreements referenced on Schedule A hereto between the Trust on behalf of the Fund and the Prior Principal Underwriter. Such references shall not be applicable to any additional series of the Trust which becomes a Fund hereunder by amendment of Schedule A hereafter.

• No party, representative, advisor, attorney or agent has relied upon any collateral contract, agreement, assurance, promise, understanding, statement or representation not expressly set forth herein or in the Prior Agreements.

• This Agreement shall supersede any and all prior oral or written representations, understandings and agreements of the parties with respect to their employment relationship (including, but not limited to all correspondence, memoranda and term sheets and the Prior Agreements), and it contains the entire agreement of the parties with respect to those matters.

More Definitions of Prior Agreements

Prior Agreements means (i) with respect to the Class B assets or shares of a particular Fund, all prior distribution agreements of the Trust applicable to the converted assets and shares of the relevant Marathon series, and (ii) with respect to the Class C assets or shares of a particular Fund, all prior distribution agreements of the Trust applicable to the converted assets and shares of the relevant Classic series. All references in this Agreement to the "Prior Agreements" shall not be applicable to any additional series of the Trust which becomes a Fund hereunder by amendment of Schedule A subsequent to June 23, 1997.

For the avoidance of doubt, “Prior Agreements” do not include the following agreements (as amended, modified or supplemented and in effect from time to time): (a) Amended and Restated Intermediate Pipelines Agreement dated June 1, 2009, (b) Tulsa Equipment and Throughput Agreement dated August 1, 2009, (c) Amended and Restated Refined Product Pipelines and Terminals Agreement effective February 1, 2009, (d) Second Amended and Restated Throughput Agreement effective June 1, 2013, (e) Third Amended and Restated Crude Pipelines and Tankage Agreement dated March 12, 2015, and (f) Unloading and Blending Services Agreement (Artesia) dated March 12, 2015.

Prior Agreements. Except as provided herein, this Contract supersedes any prior agreements, representations, or understandings that Retailer may have had with Lottery regarding the subject matter of this Contract.
