Prior Directors definition

Prior Directors means the persons sitting on the Company's, Thermo Instrument's or Thermo Electron's Board of Directors, as the case may be, immediately prior to any Electoral Event (or, if there has been no Electoral Event, those persons sitting on the applicable Board of Directors on the date of this Agreement) and any future director of the Company, Thermo Instrument or Thermo Electron who has been nominated or elected by a majority of the Prior Directors who are then members of the Board of Directors of the Company, Thermo Instrument or Thermo Electron, as the case may be; and
Prior Directors. Circulars” means, collectively, the May 25 Directors’ Circular, the June 26 Directors’ Circular and the July 5 Notice of Change;
Prior Directors means the persons sitting on the Company's Board of Directors immediately prior to an Electoral Event (or, if there has been no Electoral Event, those persons sitting on the Company's Board of Directors on the date of this Agreement) and any future director of the Company who has been nominated or elected by a majority of the Prior Directors who are then members of the Board of Directors of the Company; and

Examples of Prior Directors in a sentence

  • In the event of any conflict between this Section 4(b) and other provisions of the Plan or the Prior Directors Plans, the provisions of this section shall control.In connection with the spin-off from the Company of Kraft Foods Inc.

  • A Participant’s beneficiary designation under the Prior Directors Plan shall continue in effect under this Plan and shall apply to all of the Participant’s Accounts under this Plan unless changed by the Participant pursuant to this Section 9.

  • An arrangement, joint operating agreement, consolidation or merger which results in a substantially new or combined entity in which the controlling influence over the management or policies of the Company or the combined entity ceases to reside in the Prior Directors.

  • The Accounts described in this Section 6 shall include any liabilities under the Prior Directors Plan assumed by the Company, and such amounts shall be credited to the corresponding Account in this Plan (i.e., the Cash Credit Account or the Stock Account).

  • Notwithstanding the foregoing, any transferred amounts that are held in the dividend account under the Prior Directors Plan shall continue to be held uninvested under this Plan until December 31, 2010.

  • Any Voluntary Deferral elections made under the Prior Directors Plan shall continue in effect under this Plan, subject Sections 5(d) and (e).

  • The term of all options under the Prior Directors' Plan and the 1998 Directors' Plan is ten years, but such options generally expire 30 days after the optionee ceases to be a Non-Employee Director, employee or consultant (including those options granted prior to November 18, 1996, as amended).

More Definitions of Prior Directors

Prior Directors. Circulars” means, collectively, the May 25 Directors’ Circular and the June 26 Directors’ Circular;

  • Investor Directors has the meaning set forth in Section 2(a).

  • New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Sponsor Director means an individual elected to the Board that has been nominated by the Sponsor pursuant to this Agreement.

  • Executive Directors means a person appointed as director directly accountable to the municipal manager.

  • Independent Directors means the members of the Board of Directors who are not officers or employees of the Manager or any Person directly or indirectly controlling or controlled by the Manager, and who are otherwise “independent” in accordance with the REIT’s Governing Instruments and policies and, if applicable, the rules of any national securities exchange on which the REIT’s common stock is listed.

  • Continuity Directors means (A) those members of the Board who were directors on the date hereof and (B) those members of the Board (other than a director whose initial assumption of office was in connection with an actual or threatened election contest, including but not limited to a consent solicitation, relating to the election of directors of Ceridian) who were elected or appointed by, or on the nomination or recommendation of, at least a two-thirds (2/3) majority of the then-existing directors who either were directors on the date hereof or were previously so elected or appointed; or

  • Investor Director means a member of the Board who was elected to the Board as an Investor Designee.

  • Series A Directors means the directors of the Company that have been solely designated by the holders of record of the Series A Preferred Stock pursuant to the Certificate of Incorporation, the Stockholders Agreement or otherwise.

  • Directors means the directors for the time being of the Company.

  • Managing Directors means Mrs Maria Chr. van der Sluijs-Plantz, Mrs Thérèse F.C. Wijnen and Mr Hubertus P.C. Mourits or such other person(s) who may be appointed as Managing Director(s) of the Issuer from time to time.

  • Preferred Directors means the Series A Directors and the Series B Directors.

  • Non-Executive Directors means the Directors who are not in whole time employment of the Company.

  • Disinterested Directors means, with respect to any Affiliate Transaction, one or more members of the Board of Directors of the Company, or one or more members of the Board of Directors of a Parent, having no material direct or indirect financial interest in or with respect to such Affiliate Transaction. A member of any such Board of Directors shall not be deemed to have such a financial interest by reason of such member’s holding Capital Stock of the Company or any Parent or any options, warrants or other rights in respect of such Capital Stock.

  • Continuing Directors means, as of any date of determination, any member of the Board of Directors of the Company who (i) was a member of such Board of Directors on the date of this Indenture or (ii) was nominated for election or elected to such Board of Directors with the approval of a majority of the Continuing Directors who were members of such Board at the time of such nomination or election.

  • shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by that person in a professional capacity; and

  • Member Director means a Director elected or appointed pursuant to section 8(2)(a) of the Act and Section 5.02;

  • Disinterested Board Members means those members of the Board of a Fund that are not deemed to be "interested persons" of the Fund, as defined by the Act.

  • Board Members means the Directors or Trustees of the governing body of the Fund, as the case may be.

  • College board means the state board for community and

  • Company Board of Directors means the board of directors of the Company.

  • The Board of Directors or "Board" means all those persons appointed to perform the duties of directors of the society;

  • Lead Director means the Non-Employee Director, if any, who has been designated by the Board as the Lead Director under the Board’s Corporate Governance Guidelines. The Lead Director shall have such duties as shall be assigned to him or her by the Board in such Corporate Governance Guidelines.

  • Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.

  • Athletic director means an individual responsible for administering the overall athletic program of an educational institution or, if an educational institution has separately administered athletic programs for male students and female students, the athletic program for males or the athletic program for females, as appropriate.

  • Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.
