The terms and conditions set forth in this Lease are in replacement of and controlling over the terms and conditions set forth in the Prior Lease.
If and to the extent the Relevant Asset Owner may have occupied any portion of the Applicable Premises prior to the date of a Prior Lease without the benefit of any written lease, license or other instrument, the Relevant Asset Owner and the Related Refinery Owner release and waive any claims that such Party may have against the other Party with respect to such prior occupancy.
The terms and conditions set forth in the Lease are in replacement of and controlling over the terms and conditions set forth in the Prior Lease.
If Lessee has encumbered Lessee’s leasehold estate under the Prior Lease by a deed of trust lien recorded in the Real Property Records of the county in which the Leased Premises are located to secure indebtedness, Lessor and Lessee acknowledge and agree that the deed of trust lien continues in full force and effect to cover Lessee’s leasehold estate under this Lease.
Any agreements entered into in accordance with this Article 19 or in accordance with Article 19 during the term of the Prior Lease shall be deemed a Permitted Encumbrance.
