Priority Return Percentage definition

Priority Return Percentage means that percentage applicable to a class or series of Preferred Units set forth on Exhibit A hereto (or otherwise set forth in this Agreement or in an amendment to this Agreement) used to calculate the Priority Return Amount.
Priority Return Percentage has (i) the meaning set forth in Section 8(a)(ii)) prior to the NAV Pricing Date and (ii) the meaning set forth in Section 8(b)(ii) from and after the NAV Pricing Date.
Priority Return Percentage has the meaning set forth in Section 8(c).

  • For example, for the partial calendar year following the date of this Agreement, the Performance Component will be calculated based on the Annual Total Return Percentage achieved with respect to the VPU at the end of the date of this Agreement, and the Priority Return Percentage will be reduced pro rata by the number of days in the calendar year that precedes the date of this Agreement.

  • For each class, the dollar amount of the Performance Component will equal 25.0% of the difference between the Annual Total Return and the Priority Return Percentage allocable to Class A Shares or Class B Shares, as applicable.

  • For each class the dollar amount of the Performance Component will equal 25.0% of the difference between (i) the Annual Total Return allocable to Class A Shares or Class W Shares, as applicable and (ii) the amount required to provide Class A Stockholders an Annual Total Return equal to the Priority Return Percentage.

Priority Return Percentage. That percentage set forth on the Addendum to the Partner Registry (or otherwise set forth in an amendment to this Agreement) used to calculate the Priority Return Amount. Profits and Losses: For each Fiscal Year or other period, an amount equal to the Partnership’s taxable income or loss (as the case may be) for such year or period, determined in accordance with Code Section 703(a) (for this purpose, all items of income, gain, loss or deduction required to be stated separately pursuant to Code Section 703(a)(1) shall be included in taxable income or loss), with the following adjustments:
