Priority Substitute Credit Facility definition
Priority Substitute Credit Facility means any Credit Facility with respect to which the requirements contained in Section 4.04(a) of this Agreement have been satisfied and that Replaces the Priority Credit Agreement then in existence. For the avoidance of doubt, no Priority Substitute Credit Facility shall be required to be a revolving or asset-based loan facility and may be a facility evidenced or governed by a credit agreement, loan agreement, note agreement, promissory note, indenture or any other agreement or instrument; provided that any Priority Lien securing such Priority Substitute Credit Facility shall be subject to the terms of this Agreement for all purposes (including the lien priorities as set forth herein as of the date hereof).
Priority Substitute Credit Facility has the meaning assigned to such term in the Intercreditor Agreement.

Priority Substitute Credit Facility means any Credit Facility with respect to which the requirements contained in Section 4.04 of this Agreement have been satisfied, that is permitted to be incurred pursuant to the 1.5 Lien Credit Agreement as in effect on the date hereof and that Replaces the Priority Credit Agreement then in existence. For the avoidance of doubt, no Priority Substitute Credit Facility shall be required to be a revolving or asset-based loan facility and may be a facility evidenced or governed by a credit agreement, loan agreement, note agreement, promissory note, indenture or any other agreement or instrument; provided that any Priority Lien securing such Priority Substitute Credit Facility shall be subject to the terms of this Agreement for all purposes (including the lien priorities as set forth herein as of the date hereof).
Priority Substitute Credit Facility means (i) any Credit Facility satisfying the requirements contained in Section 4.04(a) of this Agreement or (ii) any DIP Financing satisfying the requirements contained in Section 4.02(b) of this Agreement, that, in each case, Replaces any outstanding Indebtedness arising under any Priority Lien Documents.
