Private Investments definition
Private Investments means, collectively, (i) private equity investments, including investments in partnership and limited liability companies (excluding Hedge Fund Investments), acquired by a Series and physically delivered to BNY Mellon, a Subcustodian or a Depository, as applicable, by the Series from time to time during the term of, and pursuant to the terms of, this Agreement; (ii) all dividends in kind (e.g., non-cash dividends) from the investments described in clause (i); and (iii) loans or loan commitments originated by or otherwise obtained by a Series and delivered to BNY Mellon, Subcustodian or Depository, as applicable, by the Series from time to time during the term of, and pursuant to the terms of, this Agreement.

Private Investments means, collectively, (i) uncertificated private equity investments, including investments in partnership and limited liability companies (excluding Hedge Fund Investments), acquired by a Customer on behalf of a Portfolio and physically delivered to BNY, a Subcustodian or a Securities Depository, as applicable, by the Customer on behalf of a Portfolio from time to time during the term of, and pursuant to the terms of, this Agreement; (ii) all dividends in kind (e.g., non-cash dividends) from the investments described in clause (i); and (iii) uncertificated Loan Assets originated by or otherwise obtained by a Customer on behalf of a Portfolio and delivered to Bank, a Subcustodian or a Securities Depository, as applicable, by the Customer on behalf of a Portfolio from time to time during the term of, and pursuant to the terms of, this Agreement.

The Investment Adviser shall be solely responsible for providing BNY with information relating to the value, including but not limited to the fair value, of Private Investments (“Manager Marks”), from time to time and the Investment Adviser hereby instructs BNY to use Manager Marks in connection with BNY’s provision of the Services.
The Fund recognizes that Guggenheim Private Investments, LLC (the “Adviser”) or its affiliates, under separate agreement with the Intermediary Manager, may make payment to the Intermediary Manager in connection with the distribution of Shares of the Fund, such payments payable from past profits or other resources of the Adviser or its affiliates including management fees paid to it by the Fund.

Private Investments means investments carried out directly or indirectly by a Covered Member in certificated and uncertificated securities, such as shares, participation certificates, dividend rights certificates, bonds issued by a company regardless whether they are listed or not on a stock exchange, partnership interests and derivative financial instruments. Investments in collective investment schemes, including mutual funds and exchange traded funds, as well as investments carried out by pension funds and other occupational benefits schemes available to Covered Members shall not constitute Private Investments.
