Private Resale definition

Private Resale has the meaning set forth in Section 9.1(a) of this Agreement.
Private Resale any private resale (not in connection with a public offering, whether or not underwritten, or a private placement that is underwritten for resale pursuant to Rule 144A, Regulation S or otherwise under the Securities Act or sold on an agency basis by a broker-dealer or one of its Affiliates to 10 or more beneficial holders) of Refinancing Securities.
Private Resale has the meaning ascribed thereto in Section 2.10(B).

Examples of Private Resale in a sentence

  • An exchange pursuant to this Section 9.1 shall be deemed to have been effected immediately prior to the close of business on the Exchange Date or, in the case of an Underwritten Resale or Private Resale, immediately prior to the closing of the Underwritten Resale or Private Resale, as the case may be.

  • A Syndication Assignment may be effected only pursuant to a Bank Syndication, a Private Resale or an Offering (as such terms are defined below), and each Refinancing Notice shall specify whether the Syndication Assignment contemplated thereby will be effected pursuant to a Bank Syndication, a Private Resale or an Offering.

  • Private Restrictions means (as they may exist from time to time) any and all covenants, conditions and restrictions, private agreements, easements, and any other recorded documents or instruments affecting the use of the Property, the Building, the Leased Premises, or the Outside Areas.

  • Private Cloud System (PCS) A cloud infrastructure provisioned for exclusive use by a single organization comprising multiple consumers (e.g., business units). It may be owned, managed, and operated by the Requester, a third party, or some combination of them, and it may exist on or off premises.

Section 501.

  • Private organic rules means the rules, whether or not in a record, that govern the internal affairs of an entity, are binding on all its interest holders, and are not part of its public organic record, if any. The term includes:

  • Private school means a school regulated under chapter 28A.195 or 28A.205 RCW.
