Privately Placed Units means any Common Units issued for cash or property other than pursuant to a public offering. “Pro Rata” means (a) when used with respect to Units or any class thereof, apportioned among all designated Units inaccordance with their relative Percentage Interests, (b) when used with respect to Partners or Record Holders, apportioned among all Partners or Record Holders in accordance with their relative Percentage Interests, (c) when used with respect to Holders who have requested to include Registrable Securities in a Registration Statement pursuant to Section 7.13(a) or Section 7.13(b), apportioned among all such Holders in accordance with the relative number of Registrable Securities held by each such holder and included in the Notice relating to such request.

Related to Privately Placed Units

  • Private Placement Units shall have the meaning given in the Recitals hereto.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Public place means any place, building, or conveyance to which the public has or is permitted access.

  • Private Placement Warrants shall have the meaning given in the Recitals hereto.

  • Registered Offering Transaction Documents means this Agreement and the Registration Rights Agreement between the Company and the Investor as of the date herewith.

  • Common Units is defined in the Partnership Agreement.

  • Released Securities means Shares of Restricted Stock with respect to which all applicable restrictions have expired, lapsed, or been waived.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Private Units means the Units certain of the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.

  • CHESS Approved Securities means securities of the Company for which CHESS approval has been given in accordance with the ASX Settlement Operating Rules;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • OP Units means units of limited partnership interest in the Operating Partnership.
