Privileged and Confidential Information definition

Privileged and Confidential Information means any and all privileged data, as determined by the Company in its capacity as the holder of all attorney-client related privileges vis a vis Consultant, and/or non-public knowledge, data or information related to the Company’s business or its actual or planned research or development, including (a) trade secrets, inventions, ideas, processes, computer source and object code, data, formulae, programs, other works of authorship, know-how, improvements, discoveries, developments, designs, and techniques; (b) information regarding products, plans for research and development, marketing and business plans, budgets, financial statements, contracts, prices, suppliers and customers; (c) information regarding the skills and compensation of the Company’s employees, contractors and any other Company service providers, to the extent the Company has a duty to maintain such information as private; (d) the existence or content of any business discussions, negotiations or agreements between the Company and any third party; and (e) any and all Company information, communications, knowledge, and/or work product protected from disclosure by the attorney-client and/or work product or any other applicable privileges; provided, however, Confidential Information does not include any of the foregoing items to the extent the same have become publicly known and made generally available through no wrongful act of Consultant or of others who were under confidentiality obligations as to the item or items involved.

Examples of Privileged and Confidential Information in a sentence

  • The CONTRACTOR agrees it knows and understands the policy of Privileged and Confidential Information of the COMPANY and agrees to abide by and respect it in order to ensure compliance.

  • The violation by the CONTRACTOR of the obligations under the Policy of Privileged and Confidential Information shall constitute sufficient grounds for the COMPANY may terminate the Contract, without any opportunity to any compensation to the CONTRACTOR.

  • In addition to that provided for under Clause of Privileged and Confidential Information Policy, all information exchanged between the Parties and the CONTRACTOR for the application of this Contract is confidential.

  • Upon the termination of this Agreement, or upon the Company’s earlier request, Consultant shall deliver to Company all of Company’s property or Privileged and Confidential Information that Consultant may have in Consultant’s possession, custody, or control.

  • It is understood that said Privileged and Confidential Information is and will remain the sole property of the Company.

  • Consultant further shall take all reasonable precautions to prevent any unauthorized disclosure of such Privileged and Confidential Information.

  • Lead County shall notify State Government Agency of any security incident involving State Government Agency's data in accordance with Attachment C, Privileged and Confidential Information.

  • Except as set forth herein, upon such termination all rights and duties of the Parties toward each other will cease except that Section III (Privileged and Confidential Information), Section IV (Conflicting Obligations), and Section V (Miscellaneous), will survive termination of this Agreement.

  • Both Parties shall keep confidential Privileged and Confidential Information, including any trade and business secrets that they may have disclosed to each other in relation to the License.
