Pro Rata Distribution Amount. For any Distribution Date, an amount equal to the product of (x) a fraction expressed as a percentage, the numerator of which is the Certificate Principal Balance of the Class AF-5 Certificates immediately prior to such Distribution Date and the denominator of which is the aggregate Certificate Principal Balance of the Group I Senior Certificates immediately prior to such Distribution Date and (y) the Principal Distribution Amount for such Distribution Date.
Pro Rata Distribution Amount shall equal the product of (a) the aggregate amount of the cash distribution received by Buyer or any of its Affiliates from KGS in respect of the Partnership Interests to be purchased indirectly by Buyer pursuant to this Agreement multiplied by (b) a fraction, the numerator of which is the number of days in such quarter prior to and including the Closing Date, and the denominator of which is the number of days in such quarter.
