Notwithstanding other provisions within this Agreement, if the Attributable Purchase Price for any Property does not equal or exceed the outstanding ad valorem taxes plus administrative expenses attributable to that Property by the 363 Procedures Order, Seller may remove the Property from this Agreement and the Purchase Price shall be reduced by the Attributable Purchase Price, and Purchaser shall have no other remedy.
Seller shall convey, and Purchaser shall accept, such title to the Properties as is deliverable pursuant to the 363 Procedures Order and under 11 U.S.C. § 363.
Unless waived by Purchaser, cause all other liens listed for the Property on Exhibit A to the 363 Procedures Order to either (a) be paid at Closing with closing proceeds or (b) be removed by operation of provisions of the Final Sale Order, including pursuant to section 363(f) of the Bankruptcy Code.
Nothing contained herein shall be construed to prohibit Sellers and their respective Affiliates and Representatives from soliciting, considering, negotiating, agreeing to, or otherwise taking action in furtherance of, any Alternative Transaction but only to the extent that Sellers determine in good faith that such actions are permitted or required by the Sale Procedures Order.
In the event the Sale Procedures Order and the Sale Approval Order is appealed, Sellers shall use their reasonable best efforts to defend such appeal.
