Product Exhibit definition

Product Exhibit means an exhibit to this Agreement executed by the parties, in the form of Exhibit A attached hereto, which sets forth Product-specific terms and conditions for Supplier’s manufacture and an Ordering Party’s purchase of Product.
Product Exhibit means (a) Exhibit B hereto and (b) any document in substantially the same form as Exhibit B which is subsequently executed by A10 and Manufacturer.
Product Exhibit means one or more exhibits that are signed by authorized representatives of the Parties, reference this Agreement, describe the Product and/or Services to be supplied or otherwise provided by Supplier under this Agreement and contain the information described in Section 2.3 of this Agreement.

Examples of Product Exhibit in a sentence

  • If Company discontinues all SKUs and packages of any Related Product, Exhibit F will be deemed automatically amended by deleting the discontinued Related Product from the list of Related Products.

  • These General Terms and each Product Exhibit may be executed by facsimile and in counterparts.

  • The Product Exhibit shall identify any terms or conditions that are applicable to the Licensed Materials described therein that are additional to or different from Sections 1 through 12 of this Core License Agreement, and in such case the terms and conditions of the Product Exhibit shall supersede any conflicting provisions of this Core License Agreement solely for such Licensed Materials.

  • This Agreement incorporates the initial order form attached hereto as Exhibit A (the "Product Exhibit").

  • As used herein, Agreement means, collectively, this License Agreement, the initial Product Exhibit attached hereto as Exhibit A, and all subsequent Product Exhibits (if any).

  • Each Product Exhibit shall identify any terms or conditions that are applicable to the Licensed Materials described therein that are additional to or different from the provisions of this License Agreement, and in such case the terms and conditions of a Product Exhibit shall supersede any conflicting provisions of this License Agreement solely for such Licensed Materials.

  • No other warranty for the products shown on the Product Exhibit will be offered (except as set forth in Section 8 of this agreement).

  • To ensure such promotion, VAR agrees that as set forth in Paragraph 1 of this Agreement, VAR shall not offer for sale products competitive with the HP products described in the Product Exhibit.


More Definitions of Product Exhibit

Product Exhibit means an exhibit agreed upon by the parties and attached to this Agreement that sets forth the Specifications and Transfer Price for the applicable Product. 1.14 “Purchase Order” shall have the meaning set forth in Section 3.1. 1.15 “Shipment Date” shall mean the date specified in a Purchase Order (as defined below) on which TSI is required to ship under Section 5, and all that section contains, a specific quantity of the Product to the delivery place designated on such Purchase Order. 1.16 “Specifications” shall mean the technical specifications set forth in the attached Product Exhibit. 1.17 “Technical Information” shall mean all information, materials, knowledge, data, drawings and other specifications involving or relating to the generation, manufacture and processing of the Product provided to TSI by Fallbrook pursuant to this Agreement, including, without limitation, the Specifications. 1.18 “Trademarks” means all trademarks, service marks, trade names, logos, insignia or other marks set forth in Exhibit B, including the applications and registrations, the right to file for applications and registrations, and the right to xxx for past, present and future infringement, violation and/or misappropriation thereof and all goodwill associated therewith. 1.19 “Transfer Price” shall mean, with respect to a Product, the transfer price set forth in the Product Exhibit for such Product, which price shall govern (a) the sale of such Product from TSI to Fallbrook, and (b) the sale of such Product from TSI to the Partnership formed by the parties for sale in the Domestic Sales Territory. 1.20 “TSI Facility” shall mean the TSI manufacturing facility located at 0000 Xxxxxxx Xxx., Xxxxxxxx Xxxx, XxxxxXx, Xxxxx 000000. 1.21 “TSI IP Rights” shall mean all patents and other intellectual property rights owned or controlled by TSI that covers or claims the manufacture, use, sale, offer for sale or importation of a Product existing prior to the Effective Date. 1.22 “TSI Manufacturing Territory” shall mean the People’s Republic of China (PRC), Macao, Taiwan, Japan, South Korea and Hong Kong.
Product Exhibit means a document, signed by the Parties hereto, containing the information set forth in Section 1.5, an example of which is set forth in Appendix A.
Product Exhibit means the list of Products to be manufactured by Flextronics hereunder, which will be attached to each applicable Addenda or attached separately hereto in the absence of such addenda.
Product Exhibit means an exhibit to this Agreement which is signed by both Parties, and which sets forth the specific Products which Distech is authorizing Reseller to Sell, including all related business terms thereto.
Product Exhibit means, with respect to a Product, the exhibit that shall be completed and attached hereto by the mutual agreement of the parties. The first Product Exhibit attached hereto shall be designated as Product Exhibit No. 1 and each Product Exhibit thereafter shall be referenced in numerical sequence.

Related to Product Exhibit

  • Product Schedule means the “Product Schedule” that forms part of the Contract.

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;

  • Product Terms means the document that provides information about Products available under this Agreement. The Product Terms document is published on the Licensing Site and is updated from time to time.

  • Product Description means the description of each Hospitality Package, or series of Hospitality Packages which are the subject of any Confirmation of Purchase.

  • Brand Name Specification means a specification limited to one or more items by manufacturers’ names or catalogue number.

  • Product Know-How means Know-How to the extent related to the properties, manufacture or use of any products.

  • SAP Training Catalogue means the catalogue published by SAP containing details of SAP training courses and services.

  • Reference Schedule means the reference schedule in Part A of this Invitation

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Product Specific Terms means the terms applicable to a specific item of Licensed Software as set out in Schedule 2;

  • Product name means the name of the commercial feed which identifies it as to kind, class, or specific use.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Supplier Background IPR means Intellectual Property Rights owned by the Supplier before the Call Off Commencement Date, for example those subsisting in the Supplier's standard development tools, program components or standard code used in computer programming or in physical or electronic media containing the Supplier's Know-How or generic business methodologies; and/or Intellectual Property Rights created by the Supplier independently of this Call Off Contract,

  • Brand Name or Equal Specification means a specification which uses one or more manufacturer’s names or catalogue numbers to describe the standard of quality, performance, and other characteristics needed to meet District requirements, and which provides for the submission of equivalent products.

  • Schedule of Work means that schedule attached to the Interconnection Construction Service Agreement setting forth the timing of work to be performed by the Constructing Entity pursuant to the Interconnection Construction Service Agreement, based upon the Facilities Study and subject to modification, as required, in accordance with Transmission Provider’s scope change process for interconnection projects set forth in the PJM Manuals.

  • Work Order means an individually negotiated document that is executed by both Parties and which authorizes a Project, if any, in an indefinite quantity Contract.

  • Core Curriculum Content Standards means the New Jersey Student Learning Standards.

  • SOW means the document specifying, without limitation, the scope, objective, and time frame of the Work that Supplier will perform for Cisco.

  • Defective Product has the meaning set forth in Section 5.2.

  • Custom Local Area Signaling Service Features (CLASS) means certain call-management service features that are currently available from SBC-13STATE’s local networks. These could include: Automatic Call Back; Automatic Recall; Call Trace; Caller Identification and related blocking features; Calling Number Delivery; Customer Originated Trace; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • License Type means the identification of whether the license for a Software Product is for a Perpetual Term or Subscription Term as specified in the Quote.

  • Product brand name means the name of the product exactly as it appears on the principal display panel of the product.

  • Manufacturing Know-How means all information, techniques, inventions, discoveries, improvements, practices, methods, knowledge, skill, experience and other technology, whether or not patentable or copyrightable, and any copyrights based thereon, relating to or necessary or useful for the production, purification, packaging, storage and transportation of Collaboration Products, including without limitation specifications, acceptance criteria, manufacturing batch records, standard operating procedures, engineering plans, installation, operation and process qualification protocols for equipment, validation records, master files submitted to the FDA, process validation reports, environmental monitoring processes, test data including pharmacological, toxicological and clinical test data, cost data and employee training materials.

  • Task Order means a separate order issued under this Contract.

  • Product Category means the applicable category which best describes the product as listed in this Section 94508.
