Products and pricing (MSRP, not percentage discount) Product Pricing is list price at the time of order.
Subject to the terms of this Agreement, Client hereby appoints Patheon to perform the Manufacturing Services for the “Territory” and to supply “Product” to Client for its commercial purposes, and Patheon hereby agrees to perform the Manufacturing Services and supply the Product to Client for its commercial purposes in accordance with the Specifications, cGMPs and all Applicable Laws for the Product Pricing set forth in Schedule B.
All references to pricing, including, but not limited to Product Pricing, are reflected in US Dollars and no other currency.

All Product prices are governed and controlled by Supplier’s Product pricing document dated [mm/dd/yyyy] (“Product Pricing Commitment”) and Supplier guarantees and warrants the Product Pricing Commitment against increases until [mm/dd/yyyy] (“Price Guarantee Date”).
The Purchase Price is additionally subject to adjustments by Purchaser for underwriting or other factors listed in Purchaser’s Product Pricing Materials prior to the purchase.
Supplier guarantees and warrants the Product Pricing Commitment against increases until the Price Guarantee Date set forth on Schedule 1 (“Price Guarantee Date”).
All Product Pricing can be lowered at any time throughout the term of this Agreement and any extensions.
The price for the Equipment as of the Effective Date is as stated in Exhibit B (Product Pricing) attached to this Agreement.
Exhibit C, Product Pricing shall be amended to add New Product pricing.
