Product Supplement definition

Product Supplement means any Product Supplement which is specified in the applicable Issue Terms.

Product Supplement means any document identified as such in the Drawdown Deed.

Product Supplement means a supplement to these Master Terms specific to a Product acquired by Customer.

Product Supplement means an written exhibit to this Agreement duly executed by the Parties that sets forth particular terms and conditions pursuant to which specific Contract Wafers will be provided pursuant to this Agreement and which exhibit is sequentially identified (i.e., as Exhibit B1, Exhibit B2) for each such Contract Wafer and, as applicable, sets forth or includes as an attachment: (a) a description of the particular Company Product to be manufactured on the Contract Wafers to be provided and the specifications therefor; (b) the applicable Company Process to be used; (c) the Foundry Services to be provided not otherwise set forth in Section 2.1 (entitled – Foundry Services); (d) the applicable Probe Program (or process for determining such program); (e) implementation schedule; (f) any foundry qualification plan, qualification acceptance criteria and foundry loading plan; (f) the applicable Target Yield and Minimum Yield; (g) any Technical Information and/or Technology to be provided by the Parties; (h) the pricing for the Contract Wafers; and (i) whether Foundry will be Company’s sole source foundry for the applicable Contract Wafers as contemplated in Section 2.5 (entitled – Sole Source Foundry).

Product Supplement means the mutually agreed Product-specific supplement attached to this Agreement as Attachment 1 that specifies requirements for Manufacture of such Product in addition to the Specifications and cGMP. Attachment 1 may be amended in writing from time to time upon written agreement of both parties, including without limitation to add requirements for Manufacture, Specifications and cGMP requirements for additional Products.

Product Supplement means a written exhibit to this Agreement in a form substantially as attached hereto as Exhibit B1, as may be duly executed by the Parties from time to time that sets forth particular terms and conditions pursuant to which specific Contract Wafers will be provided pursuant to this Agreement and which exhibit is sequentially identified (i.e., as Exhibit B1, Exhibit B2) for each such Contract Wafer and, as applicable, sets forth or includes as an attachment: (a) a description of the particular Spansion Product to be manufactured on the Contract Wafers to be provided and the specifications therefore; (b) the applicable Spansion Process to be used; (c) any Foundry Services not otherwise set forth herein to be provided; (d) the applicable Probe Program (or process for determining such program); (e) the Quality Standards; (f) the implementation schedule; (g) any SMIC qualification plan, qualification acceptance criteria and SMIC loading plan; (h) the applicable Target Yield and Minimum Yield; (i) any Technology to be provided by the Parties; and (j) the pricing for the Contract Wafers.

Product Supplement means any product supplement which is specified as a “Product Supplement” in the Final Terms or Series Prospectus.

Product Supplement means any Product Supplement attached to this Agreement, on or after the Effective Date, by mutual agreement of the Parties, as it may be amended in accordance with this Agreement from time to time by mutual written agreement of the Parties, setting forth Specifications, Documentation, sales xxxx of materials, price and other additional terms and conditions applicable to a Product available for purchase under this Agreement.

Product Supplement means any product supplement which is specified as a “Product Supplement” in the applicable Final Terms or Pricing Supplement.
