Prohibited Disposition definition

Prohibited Disposition means any disposition of any Assets or the Business (other than in the ordinary course of business) or any change in control of Seller, the Assets or the Business. Seller will immediately notify Buyer if any person makes an offer or inquiry in writing relating to a possible Prohibited Disposition.
Prohibited Disposition means any disposition of any of the Acquired Companies’ assets or businesses (other than in the Ordinary Course of Business), whether structured as an asset sale, a sale of equity interests, a merger or otherwise, or any similar transaction which would result in a change in control of the Company.
Prohibited Disposition shall have the meaning set forth in Section 3.05.
