Prohibited Work definition

Prohibited Work means any executive, management, supervisory, consultation or strategic work for a Competing Business in circumstances where the Executive has Confidential Information, or had been given Confidential Information, that if used or disclosed in performing such work could be advantageous to the Competing Business in competing with the Business; and

  • During the Restricted Period, the Executive shall not, without the prior written consent of the Board acting reasonably, directly or indirectly, perform Competitive Duties or Prohibited Work for a Competing Business in any Capacity within the Restricted Territory.

Prohibited Work means any alterations creating excessive noise or fumes (including any alteration(s) involving (a) demolition; (b) cutting, trenching, chopping and drilling of floor slabs; (c) shooting fasteners into slab, floor or overhead; (d) spraying of paint or other coatings; (e) disconnects or shutdowns affecting other tenants or other parts of the Building; (f) burning or welding of steel which causes fumes to be transmitted to other parts of the Building; or (g) the use of air hammers or concrete saws).
Prohibited Work means any [SELECTED RESPONDENT]’s Work which, in NYCEDC’s judgment, would (a) affect (i) the structural integrity of the terminals or is otherwise structural in nature, (ii) utility services or plumbing and electrical lines, (iii) any part of the terminals outside of the Advertising Areas, (iv) the terminal equipment and other service systems of the terminal or (v) the areas of the Advertising Areas designated by NYCEDC or any governmental or quasi-governmental authority as “Historic Areas”, (b) diminish the value or utility of the terminals, (c) affect ferry operations or ferry passenger staging, (d) be inconsistent, in any manner, with NYCEDC’s Construction Requirements (as hereinafter defined), or (e) has a cost greater than $ , . [SELECTED RESPONDENT] shall obtain reasonable and customary warranties and guarantees on all [SELECTED RESPONDENT]’s Work.

The list shall state the name and address of each such Person and the capacity in which such Person is under contract performing work at the Advertising Areas. All Persons employed by [SELECTED RESPONDENT] with respect to any [SELECTED RESPONDENT]’s Work shall be paid, without subsequent deduction or rebate unless expressly authorized by law, not less than the prevailing minimum hourly rate required by law. All construction-related contractor retained by [SELECTED RESPONDENT] shall be subject to the prior written approval of NYCEDC and the City, which approval shall not be unreasonably withheld or delayed.
