Prologis parties means Prologis, Prologis OP, Prologis Merger Sub and Prologis OP Merger Sub.
Parent Parties means Parent and Merger Sub.
Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.
Party/Parties means Buyer and Seller individually/collectively.
Bank Parties means Administrative Agent and the Banks.
Party/Parties means Buyer and Seller individually/collectively.
Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
Partnership Parties has the meaning assigned to such term in the preamble.
Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.
Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.
Sponsor Entities means (i) WHR Holdings, LLC, Esquisto Holdings, LLC, WHE AcqCo Holdings, LLC, WildHorse Investment Holdings, LLC, Esquisto Investment Holdings, LLC, NGP IX Holdings, L.P., NGP X US Holdings, L.P., NGP XI Holdings, L.P., and CP VI Eagle Holdings, L.P. and (ii) any of their respective Affiliates and any investment fund or other Person advised or managed by any Sponsor Entity, in each case, which owns or owned a direct or indirect interest in the Company; provided, however, that neither the Company nor any of its subsidiaries shall be considered Sponsor Entities hereunder.
Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.
Designated Persons means a person or entity: (i) listed in the annex to, or otherwise the subject of the provisions of, any executive order administered by OFAC or the U.S. Department of State or (ii) named as a “Specially Designated National and Blocked Person” or a “Foreign Sanctions Evaders” on the most current list published by OFAC at its official website or any replacement website or other replacement official publication of such list; or is otherwise the subject of any Sanctions Laws and Regulations.
Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.
WCA means the Workers Compensation Act (British Columbia) and the regulations thereunder.
Company Representatives shall have the meaning set forth in Section 6.5(a).
Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;
Partnership Entities means the General Partner and each member of the Partnership Group.
Parties has the meaning set forth in the Preamble.
Credit Parties means the Borrower and the Guarantors.
Loan Parties means, collectively, the Borrower and each Guarantor.
Parent Related Parties shall have the meaning set forth in Section 8.3(c).
Non-Participating Clinical Professional Counselor means a Clinical Professional Counselor who does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.
Agent Parties has the meaning specified in Section 10.02(c).
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
Borrower Parties means the collective reference to the Borrower and its Restricted Subsidiaries, and “Borrower Party” means any one of them.
Agent’s Group has the meaning specified in Section 8.02(b).
