  • In the event a Promoter Member and/or Contributor Member and/or Observer Member of the Alliance breaches the obligation of confidentiality with respect to the Confidential information of Observer Member, the Observer Member may seek legal recourse against the breaching Promoter Member and/or Contributor Member and/or Observer Member of the Alliance, or against any other appropriate entity, except that the Alliance shall have no liability with respect to such breach.

  • The rights and obligations set forth in this Section 6 shall expire three (3) years after the date the Observer Member discloses or submits the Observer Member Confidential information to the Alliance or to any other Promoter Member or Contributor Member or Observer Member of the Alliance in the course of the Observer Member’s Alliance-related activities.


More Definitions of Promoter Member

Promoter Member means a Member that has paid all dues required to become a Promotor Member, that has agreed to carry out all duties defined by the Board from time to time or herein, and that has been approved by the Board, at its discretion, to be a Promoter Member in accordance with Section 9.2. Promoter Members have no rights to select a Director who serves on the Board of Directors.

Related to Promoter Member

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Full Member means any person who is in one of the categories of membership referred to in Rule 10.3.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Founding Member means any individual who is either:

With respect to an incapacitated individual owning an ownership interest in a wholesaler, the term means the person appointed by a court as the conservator of such individual's property. The term also includes the appointed and qualified personal representative and the testamentary trustee of a deceased individual owning an ownership interest in a wholesaler.

  • Bona fide member means an individual who participates in activities of a qualified organization

  • Team Member means an individual who is allowed to access the Cloud Service but is only granted membership in groups associated with “Team Member” permissions for the Cloud Service.2

  • Related member means a person that, with respect to the taxpayer during all or any portion of the taxable year, is either a related entity, a component member as defined in section 1563(b) of the Internal Revenue Code, or a person to or from whom there is attribution of stock ownership in accordance with section 1563(e) of the Internal Revenue Code except, for purposes of determining whether a person is a related member under this division, "twenty per cent" shall be substituted for "5 percent" wherever "5 percent" appears in section 1563(e) of the Internal Revenue Code.

  • Partner means any General Partner or Limited Partner.

  • Business Partner means a legal entity that requires use of a training service in connection with Customer’s and its Affiliates’ internal business operations. These may include customers, distributors, service providers and/or suppliers of Customer.

  • Member means a member of the Board;

  • Faculty Member means any person hired by the college or District to conduct classroom or teaching activities or who is otherwise considered by the college to be a member of faculty.

  • Tribal Member means an enrolled member of the Tribe.

  • Unit Member refers to any employee who is included in the bargaining unit as defined in Article II.

  • Consortium Member means a company specified in Recital (B) as a member of the Consortium;}
