Promoter Member means a member of the Alliance in accordance with the Bylaws of the Alliance that has executed and entered into, and is bound by, the applicable EnOcean Alliance Promoter Member Agreement with the Alliance.

Promoter Member means any participant in the Alliance which has executed the Zigbee Promoter Member Agreement.

• The rights granted under this Section 8 shall terminate immediately upon: (iii) the Affiliate's material breach of any of its obligations under this Section 8; or (iv) termination or expiration of this Promoter Member Agreement pursuant to Section 9.

• In the event a Promoter Member and/or Contributor Member and/or Adopter Member of the Alliance breaches the obligation of confidentiality with respect to the Confidential information of Adopter Member, the Adopter Member may seek legal recourse against the breaching Promoter Member and/or Contributor Member and/or Adopter Member of the Alliance, or against any other appropriate entity, except that the Alliance shall have no liability with respect to such breach.

• Each Promoter Member may exercise any and all rights of copyright ownership and sublicense such rights in the Bluetooth Specification(s) as if such rights were solely owned by such Promoter Member without the permission of such Associate or Adopter Member and without any duty to account.

• Bluetooth SIG has the authority as the Attorney-in-Fact to execute and deliver this License on behalf of the Promoter Members and by signing this License does hereby bind all the Promoters Members to this License and each Promoter Member shall be considered a party to this License.

• Upon adoption of a Bluetooth Specification, each Associate and Adopter Member agrees and does hereby grant joint ownership to each Promoter Member in any copyright that such Associate or Adopter member may have in the Bluetooth Specification(s) including Contributions of such Associate or Adopter Member.

• No Promoter Member and/or Contributor Member and/or Adopter Member shall be required or obliged to implement Adopted Specifications by virtue of being a Promoter Member and/or Contributor Member and/or Adopter Member, as applicable, of the Alliance.

• For the purposes of the foregoing, the term "developed jointly" shall mean that at least one Promoter Member and/or Participant employee or contractor and one Alliance Employee or Alliance Contractor qualify as co-inventors as a matter of U.S. patent law, in the case of patentable subject matter, or qualify as co-authors as a matter of U.S. copyright law, in the case of copyrightable subject matter.

More Definitions of Promoter Member

Promoter Member means a Member that has paid all dues required to become a Promotor Member, that has agreed to carry out all duties defined by the Board from time to time or herein, and that has been approved by the Board, at its discretion, to be a Promoter Member in accordance with Section 9.2. Promoter Members have no rights to select a Director who serves on the Board of Directors.

Promoter Member means a Promoter of Khronos as defined by the Bylaws in Attachment B.

Promoter Member means any Member in the Alliance which has executed the Wi- SUN Promoter Member Agreement.
