Properties or Assets definition

Properties or Assets means the Acquired Companies’ properties or assets used for operations and shall not include the Subject Property or any REO Property.
Properties or Assets means the Acquired Companies’ properties or assets other than any Subject Property or any REO Property.

  • Accordingly, if any right or option to acquire any interest in the Properties or Assets, in an Ownership Interest, or the Company, or in any real property exists under this Agreement, such right or option must be exercised, if at all, so as to vest such interest within time periods permitted by applicable rules.

  • Neither the Acquired Companies nor their respective Properties or Assets (nor, to the Knowledge of the Sellers, any Subject Property or any of the REO Properties) are subject to any Order pursuant to any environmental Law or in connection with hazardous materials or substances.

  • Seller has the right to cure any deficiency with respect to any of the Properties or Assets within thirty (30) days after the expiration of the Due Diligence Period (the "Cure Period").

  • Except as set forth in Schedule 3.15(c), the Acquired Companies are in compliance in all material respects with all applicable environmental, health and safety Laws that affect the Properties or Assets and no Proceeding has been filed, commenced nor, to the Knowledge of Seller, threatened against any Acquired Company alleging any such violation.
