Property Files definition

Property Files shall have the meaning set forth in Paragraph 8(b) of this Agreement.
Property Files means the following documents that are in Seller’s possession, and nothing else: Phase 1 environmental report, A.L.T.A. Survey, and Geotechnical Report.
Property Files shall have the meaning set forth in Section 4.01 hereof.

Examples of Property Files in a sentence

  • Borrower will deliver to Lender all Property Files in an electronic format reasonably agreed by Lender and Borrower.

  • For all purposes of this Loan Agreement, the most recently delivered Asset Transmission, Diligence Agent Report, Exception Report or listing of Property Files shall control.

  • Notwithstanding the foregoing, if Potential Purchaser closes its purchase of the Property from Seller, Potential Purchaser's use of the Property Files with respect to the Property shall not be limited by this Agreement from and after the date of such purchase.


More Definitions of Property Files

Property Files shall have the meaning set forth in Paragraph 8(b) of this Agreement. “Purchase Price” shall mean the monetary consideration specified in Paragraph 3 of this Agreement. “Real Property” shall mean the certain real estate, located in the County and State, and further described on Exhibit “A” attached hereto. “Regulatory Agreements” shall have the meaning set forth in Paragraph 23(a) of this Agreement. “Rejected Exceptions” shall have the meaning set forth in Paragraph 8(a) of this Agreement. “Representatives” shall mean, with respect to any person or entity, the direct and indirect directors, principals, officers, partners, members, shareholders, agents, contractors, employees, lawyers, accountants, advisors, consultants, and other representatives of such person or entity, and its prospective lenders and investors. “Required Consents” shall mean the timely notice to, and/or the written consent or approval of, each governmental or regulatory body (including the Housing Authority), in each case pursuant to the requirements applicable thereto and in each case to the extent required for the consummation of the transactions contemplated by this Agreement and the exhibits attached hereto. 4 “Section 42 Memorandum” shall mean a Memorandum of Agreement in the form of Exhibit “G” attached hereto. “Seller's Title Notice” shall have the meaning set forth in Paragraph 8(a) of this Agreement. “Service Contracts” shall mean all service, equipment, supply, management, maintenance, utility, listing and other operating contracts relating to the Property. “SHF” shall mean SunAmerica Housing Fund 378, a Nevada limited partnership and SLP Housing III LLC, a Nevada limited liability company, the limited partners of Seller. “Special Warranty Deed” shall mean a deed in the form of Exhibit “B” attached hereto. “State” shall mean the State in which the Real Property is located. “Survey” shall mean the new or updated survey, if any, of the Real Property and Improvements obtained by Buyer. “Tax Credit Laws” shall have the meaning set forth in Paragraph 23(a) of this Agreement. “Tax Credits” shall have the meaning set forth in Paragraph 23(a) of this Agreement. “Tenant Deposits” shall mean the deposits, if any, made by Tenants (including any interest accrued and unpaid thereon for the benefit of Tenants) less the amount such deposits have been charged, offset or otherwise reduced by Seller as permitted under the Tenant Leases or under applicable law. “Tenant Leases” shall mean the agre...
Property Files means copies of various documents and files materially relating to the Property in the possession of Seller, provided that the Property Files will exclude the following to the extent the same are not so made available: (i) internal memoranda, correspondence or analyses prepared by or for Seller, its property managers and/or advisors, (ii) communications between or among any of Seller, its property managers and/or advisors and their attorneys, and (iii) appraisals, assessments or other valuations of the Property.   • CMSA Property File means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Property File" available as of the Closing Date on the CMSA Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage securities transactions generally.

  • CREFC® Property File The data file in the “CREFC® Property File” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • Loan Files means the documents specified in Section 2.1 of the Sale Agreement.

  • Servicing Records means all documents, books, records and other information (including, without limitation, computer programs, tapes, disks, data processing software and related property rights) prepared and maintained by the Servicer with respect to the Transferred Loans and the related Obligors.

  • Third-party filer means an entity that submits a Product filing to the Commission on behalf of an Insurer.

  • CREFC® Loan Periodic Update File The data file in the “CREFC® Loan Periodic Update File” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • Servicing File The items pertaining to a particular Mortgage Loan including, but not limited to, the computer files, data disks, books, records, data tapes, notes, and all additional documents generated as a result of or utilized in originating and/or servicing each Mortgage Loan, which are held in trust for the Trustee by the Servicer.

  • CREFC® Servicer Watch List format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form (including other portfolio review guidelines) for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • CMSA Collateral Summary File means the report substantially in the form of, and containing the information called for in, the downloadable form of the "Collateral Summary File" available as of the Closing Date on the CMSA Website, or such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage securities transactions generally.

  • Property Information has the meaning specified in Section 4.03.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Asset File shall have the meaning assigned thereto in the Custodial Agreement.

  • Mortgage File The mortgage documents listed in Section 2.01 pertaining to a particular Mortgage Loan and any additional documents required to be added to the Mortgage File pursuant to this Agreement.

  • Student Records Means both of the following: (1) Any information that directly relates to a student that is maintained by LEA and (2) any information acquired directly from the student through the use of instructional software or applications assigned to the student by a teacher or other LEA employee. For the purposes of this Agreement, Student Records shall be the same as Educational Records, and Covered Information, all of which are deemed Student Data for the purposes of this Agreement.   • Trustee Mortgage Files With respect to each Mortgage Loan, the Mortgage Documents to be retained in the custody and possession of the Trustee or the Custodian on behalf of the Trustee pursuant to the Custodial Agreement.

  • Receivable Files means the documents specified in Section 3.3.

  • Inspection Report means the report delivered by the Master Servicer or the Special Servicer, as the case may be, substantially in the form of Exhibit L hereto.

  • Servicer File means, collectively, all documents, records and copies pertaining to a Mortgage Loan which are required to be included in the related Servicer File pursuant to Section 3 thereof.
