Property Information definition

Property Information has the meaning specified in Section 4.03.

Property Information shall have the meaning given to it in Section 2.2 hereof.

Property Information means (i) all information and documents in any way relating to the Property, the operation thereof or the sale thereof (including, without limitation, Leases, Contracts and Licenses) furnished to, or otherwise made available for review by, the Purchaser or its directors, officers, employees, affiliates, partners, brokers, agents or other representatives, including, without limitation, attorneys, accountants, contractors, consultants, engineers and financial advisors (collectively, the "Purchaser's Representatives"), by the Seller or any of the Seller's Affiliates, or their agents or representatives, including, without limitation, their contractors, engineers, attorneys, accountants, consultants, brokers or advisors, and (ii) all analyses, compilations, data, studies, reports or other information or documents prepared or obtained by the Purchaser or the Purchaser's Representatives containing or based, in whole or in part, on the information or documents described in the preceding clause (i), or the Investigations, or otherwise reflecting their review or investigation of the Property.

• This Letter Agreement shall be governed by and construed in accordance with the laws of the State of Maryland and the seller or X.X. Xxxxxx may take any necessary action to compel specific performance of this Letter Agreement or enjoin any violation of this Letter Agreement so that the Property Information is not used in any manner to harm or adversely affect the Selling Parties or the potential sale of the Property.

• The redelivery or destruction of the Property Information shall not in any way relieve you of your obligation of confidentiality or the waivers contained herein.

• If you are in agreement with the foregoing, please indicate by signing and returning the enclosed copy of this Letter Agreement, whereupon it will constitute our agreement with respect to the Property Information being provided to you.

• Seller shall promptly notify Developer in writing of any material changes to any previously delivered Property Information of which Seller becomes aware.

• In the event this Agreement terminates for any reason, Purchaser shall destroy all Property Information provided by Seller and destroy (or use reasonable efforts to cause to be destroyed) any Confidential Information that is derived from or based upon (in any material respect) and of the Property Information.

More Definitions of Property Information

Property Information shall have the meaning set forth in SECTION 6.4.2.

Property Information means the following information and other items with respect to each Real Property which Borrower intends to designate as an Unencumbered Asset to be added to the Unencumbered Pool:

Property Information for any Hotel Property means the information and documentation for such Hotel Property listed in Sections 3.03(f), 3.03(g), 3.03(j)(i)-(iii) and (v) and a commitment for a title policy for such Hotel Property, together with a legible copy of all documents referred to in such commitment.

Property Information as such term is defined in Section 17.3 hereof.
