Proposed Assignment definition

Proposed Assignment means the proposed assignment of this Lease by the Current Tenant to the Proposed Assignee described in the Application to Assign;
Proposed Assignment shall have the meaning set forth in Section 10.04(b)(iv).

Examples of Proposed Assignment in a sentence

  • If Licensee does not deliver all information that the City reasonably requires simultaneously with the Notice of Proposed Assignment, the date of Licensee’s delivery of notice will be deemed to have occurred only when it has delivered any additional information the City requests.

  • City shall make its election to approve or disapprove such assignment within thirty (30) days after City's receipt of the Notice of Proposed Assignment (the "Response Period").

  • The Notice of Proposed Assignment shall provide in detail the terms and conditions for such proposed Assignment and complete information, including financial statements, business history, and references about the Assignee and such other information about the proposed assignee (collectively, "Assignee") as is reasonably requested by City to make a fully informed decision about consent to Licensee's request.

  • Notwithstanding anything to the contrary in this Section, if any monetary or other material event of default by Licensee is outstanding hereunder at the time of Licensee's Notice of Proposed Assignment (or if any event shall have occurred which with the giving of notice or the passage of time or both would constitute such a default), then City may elect by notice to Licensee to refuse to consent to Licensee's proposed Transfer and pursue any of its right or remedies hereunder or at law or in equity.

  • Sums payable to the City by Licensee, including any late charges, default interest, costs related to a request for the City’s consent to an Assignment under Section 16.2 (Notice of Proposed Assignment), and Default Fees under Subsection 17.2.4 (Default Fees), are referred to collectively as “Additional Fees.” Additional Fees are not regulatory fees.

  • If EQR OP does not provide Newco with written notice of its intention to purchase Newco's rights and obligations under the Option Agreement on or before the earlier of the date when notice of exercise of the option must be given within thirty (30) days after the Notice of Proposed Assignment, then Newco shall have the right to assign all of its rights and obligations under the Option Agreement to such prospective assignee in accordance with the terms of the Offer.

  • The City will grant or deny any request for consent to an Assignment within 30 days after the City’s receipt or deemed receipt, if delayed under Section 16.2 (Notice of Proposed Assignment), of the Notice of Proposed Assignment (the “Assignment Response Period”).

  • If Newco fails to consummate such assignment within one hundred fifty (150) days following EQR OP's rejection of the offer in the Notice of Proposed Assignment, then the Option Agreement shall again be subject to the restrictions of this Paragraph 1.

  • Any such assignment of the Option Agreement to EQR OP shall be on the same terms and conditions as the Offer, which terms and conditions shall be set forth in the Notice of Proposed Assignment.
