Proposed Disclosure definition

Proposed Disclosure shall have the meaning set forth in Section 11.8.
Proposed Disclosure has the meaning set forth in Section 8.3.1.

Examples of Proposed Disclosure in a sentence

  • Party makes a timely objection to a Proposed Disclosure on the grounds that it contains the Notified Party’s Confidential Information, the Publishing Party shall remove any such Confidential Information from the Proposed Disclosure as requested by the Notified Party.

  • Any draft of any Proposed Disclosure provided by one Party to the other pursuant to this Section 8.6 shall be deemed and treated as Confidential Information of the Party that is proposing to make such Proposed Disclosure.

  • If a Party is unable to comply with the foregoing twenty-four (24)-hour notice requirement because of a legal obligation or stock or securities exchange requirement to make more rapid disclosure, such Party will not be in breach of this Agreement but will in that case give telephone and email notice to a senior executive of the other Party and provide a draft of the Proposed Disclosure with as much notice as possible prior to the release of such announcement.

  • A Party that receives a draft of any Proposed Disclosure that the other Party is planning to make may not make any disclosure or public announcement of the substance or content of such Proposed Disclosure until such time as such other Party has released such Proposed Disclosure to the public.

  • The Parties will negotiate in good faith to arrive at an acceptable version of the Proposed Disclosure within the forty-five (45) day period foreseen in Section 13.2 above.

  • ARIAD will complete its review within thirty (30) days of receipt of the Proposed Disclosure.

  • Subscriber acknowledges that it has received from CRA a copy of the consumer rights summary as prescribed by the CFPB as referenced on Exhibit A-1.

  • For other public disclosures relating to this Agreement or the Parties' relationship under this Agreement ("Proposed Disclosures"), including without limitation maintenance and disclosure of a list of licensees or presentations at a professional conference, ZNOMICS may publicly disclose only such information as was previously disclosed in the press release approved by MERCK or a prior Proposed Disclosure.

  • The Notified Party shall have thirty (30) days after receipt of such Proposed Disclosure, to object to such Proposed Disclosure on the basis that it contains the Notified Party’s Confidential Information or discloses Intellectual Property for which, pursuant to Sections 14.10-14.12, the Notified Party intends to seek registration and/or protection under applicable intellectual property laws.

Related to Proposed Disclosure

  • Required disclosure means disclosure by the director who has a conflicting interest of:

  • Protected Disclosure means any communication made in good faith that discloses or demonstrates information that may evidence unethical or improper activity.

  • Required Disclosure Date means (x) if such Buyer authorized the delivery of such Confidential Information, either (I) if the Company and such Buyer have mutually agreed upon a date (as evidenced by an e-mail or other writing) of Disclosure of such Confidential Information, such agreed upon date or (II) otherwise, the seventh (7th) calendar day after the date such Buyer first received any Confidential Information or (y) if such Buyer did not authorize the delivery of such Confidential Information, the first (1st) Business Day after such Buyer’s receipt of such Confidential Information.

  • Unauthorized disclosure or "unauthorized release" means any disclosure or release not permitted by federal or state statute or regulation, any lawful contract or written agreement, or that does not respond to a lawful order of a court or tribunal or other lawful order.

  • Covered Disclosure Information shall have the meaning set forth in Section 9.2(b) hereof.
