Party makes a timely objection to a Proposed Disclosure on the grounds that it contains the Notified Party’s Confidential Information, the Publishing Party shall remove any such Confidential Information from the Proposed Disclosure as requested by the Notified Party.
Any draft of any Proposed Disclosure provided by one Party to the other pursuant to this Section 8.6 shall be deemed and treated as Confidential Information of the Party that is proposing to make such Proposed Disclosure.
If a Party is unable to comply with the foregoing twenty-four (24)-hour notice requirement because of a legal obligation or stock or securities exchange requirement to make more rapid disclosure, such Party will not be in breach of this Agreement but will in that case give telephone and email notice to a senior executive of the other Party and provide a draft of the Proposed Disclosure with as much notice as possible prior to the release of such announcement.
A Party that receives a draft of any Proposed Disclosure that the other Party is planning to make may not make any disclosure or public announcement of the substance or content of such Proposed Disclosure until such time as such other Party has released such Proposed Disclosure to the public.
The Parties will negotiate in good faith to arrive at an acceptable version of the Proposed Disclosure within the forty-five (45) day period foreseen in Section 13.2 above.
ARIAD will complete its review within thirty (30) days of receipt of the Proposed Disclosure.
Subscriber acknowledges that it has received from CRA a copy of the consumer rights summary as prescribed by the CFPB as referenced on Exhibit A-1.
For other public disclosures relating to this Agreement or the Parties' relationship under this Agreement ("Proposed Disclosures"), including without limitation maintenance and disclosure of a list of licensees or presentations at a professional conference, ZNOMICS may publicly disclose only such information as was previously disclosed in the press release approved by MERCK or a prior Proposed Disclosure.
