Provider Amount definition

Provider Amount means, with respect to each Distribution Date, the lesser of (i) the unpaid principal amount of the Loan (including any amounts loaned by the Credit Enhancement Provider pursuant to Section 8 hereof) and (ii) the amount on deposit in the Credit Enhancement Account, in each case before giving effect to any payments, allocations or distributions on such Distribution Date.
Provider Amount means, with respect to each Distribution Date, the lesser of (i) the unpaid principal amount of the Loan (including any amounts loaned by the Credit Enhancement Provider pursuant to Section 8 hereof) and (ii) the amount on deposit in the Credit Enhancement Account, in each case before giving effect to any payments, allocations or distributions on such Distribution Date. “Series Interest Payment Amount” means, for any Distribution Date, an amount equal to the amount of interest payable on the Loan on such Distribution Date, including any accrued but unpaid interest with respect to previous Interest Periods and interest thereon, less the amount paid to the Credit Enhancement Provider on such Distribution Date pursuant to Section 4(a) hereof. The Series Interest Payment Amount shall be the amount of interest payable pursuant to this Agreement for purposes of calculating theCredit Enhancement Feefor the purpose of, and as such term is defined in, the Series Supplement and such amount shall be paid in accordance with the provisions of the Series Supplement.

  • Subordination Reduction Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the Excess Subordinated Amount and (b) the Net Monthly Excess Cash Flow.

  • Minimum Credit Enhancement Test With respect to any Payment Date, a test that will be satisfied if the Subordinate Percentage is greater than or equal to 6.00%.

  • Overcollateralization Reduction Amount With respect to any Distribution Date on which the Excess Overcollateralization Amount is, after taking into account all other distributions to be made on such Distribution Date, greater than zero, the Overcollateralization Reduction Amount shall be equal to the lesser of (i) the Excess Overcollateralization Amount for that Distribution Date and (ii) the Principal Remittance Amount on such Distribution Date.

  • Principal Remittance Amount With respect to any Distribution Date, the sum of the Group I Principal Remittance Amount and the Group II Principal Remittance Amount.

  • Carryover Amount for any Holder means, with respect to any registered offering in which such Holder elected not to participate after receipt of a notice under Section 2.2(a), a number of Registrable Securities equal to the number of Registrable Securities then held by such Holder, multiplied by a fraction (expressed as a percentage), the numerator of which is equal to the number of Registrable Securities sold by the Holder that sold the most Registrable Securities in such offering and the denominator of which is the number of Registrable Securities held by such Holder immediately prior to such offering.

  • Unapplied Downgrade Advance means any Downgrade Advance other than an Applied Downgrade Advance.
