Stockholder agrees that, in the event of any breach or threatened breach by Stockholder of any covenant or obligation contained in this Agreement or in the Proxy, Investor shall be entitled (in addition to any other remedy that may be available to it, including monetary damages) to seek and obtain (a) a decree or order of specific performance to enforce the observance and performance of such covenant or obligation, and (b) an injunction restraining such breach or threatened breach.
Pursuant to the Proxy, Investor grants to the person named therein (the "Proxy Holder") the right to vote, or to execute and deliver written consents or otherwise act with respect to, any and all Voting Securities eligible to vote on any manner submitted to the stockholders of the Company at the Proxy Holder's sole and absolute discretion, to the same effect and extent as the Investor might or could do under any applicable laws or regulations governing the rights and powers of a Delaware corporation.
