Vendor Resources located offshore (outside of the United States) and authorized by Prudential to perform certain Designated Services, as agreed to in writing by the parties, are prohibited from gaining access to any Prudential Confidential Information prior to the Vendor's full implementation of the Data Loss Protection controls, which are subject to a security review by Prudential, agreed to by the parties.

You will regard and preserve as confidential all Prudential Confidential Information, as defined below, that may be obtained by You from any source as a result of this Agreement.
Your obligation to keep Prudential Confidential Information confidential pursuant to Section 2 shall survive termination of this Agreement.
Upon termination of this Agreement or at any time that Prudential requests, You shall return to Prudential any and all Prudential Confidential Information in Your possession.
