PUBLIC OFFERINGS means, collectively, the offering by the Borrower and certain holders of its securities of common stock, $.01 par value per share, of the Borrower pursuant to a Registration Statement on Form SB-2 under the Securities Act of 1933, as amended, which Registration Statement was initially filed with the Securities and Exchange Commission ("SEC") on October 9, 1996, and the offering by the Borrower of an aggregate principal amount of $110,000,000 of the Borrower's Senior Notes due 2006 pursuant to a Registration Statement on Form SB-2 under the Securities Act of 1933, as amended, which Registration Statement was initially filed with the SEC on October 31, 1996.
