Notwithstanding anything to the contrary contained in this Agreement, in no case shall an Additional Lender be the Public Parent, an Intermediate Parent, the Parent, an Affiliate of the Parent, any Permitted Holder or a natural person.
In the case of an investigation, litigation or other proceeding to which the indemnity in this Section 10.04(b) applies, such indemnity shall be effective whether or not such investigation, litigation or proceeding is brought by the Public Parent, any Intermediate Parent the Parent, the Borrower, any other Loan Party, any of their respective directors, employees, stockholders or creditors, or an Indemnitee or any other Person.
No such assignment shall be made to the Public Parent, any Intermediate Parent, the Parent, the Borrower, any Permitted Holder, or any of the Parent’s or the Borrower’s Affiliates or Subsidiaries.
Commencing with the fiscal quarter ending March 31, 2026, permit the Parent’s (or, if the financial statements delivered pursuant to Section 6.01(a) or Section 6.01(b) for such fiscal quarter is in respect of the Public Parent, the Public Parent’s) ratio of Consolidated Net Debt as of such day to Consolidated EBITDAX for the Reference Period ending on such day to exceed 3.00 to 1.00.
None of the Parent, the Borrower, any Subsidiary or, to the knowledge of the Parent and the Borrower, the Public Parent and any Intermediate Parent have received written notice of any proposed tax assessment against it that could reasonably be expected to have a Material Adverse Effect.
