Publisher Network definition

Publisher Network means the website(s) or application(s) owned or controlled and operated by Publisher during the Term (as defined below) as may be approved by the Company from time to time. Any website or application rejected by the Company at any time will not be considered part of the Publisher Network.

Publisher Network means the operator of a marketing network of further publishers to facilitate, amongst other things, affiliate and performance marketing, that has joined the Network to market advertisers or their products as an affiliate;

Publisher Network means any Person who (i) any Defendant pays, offers to pay, or provides or offers to provide any form of consideration for participation in a Publisher Program; and (ii) pays any other Person to participate in a Publisher Program.

• If Publisher sorts, ranks and delivers listings on the Publisher Network based on CPC amounts, a) Publisher must deliver LookSmart’s Paid Listings above or in a more favorable position than (i) any other Listing with the same CPC and (ii) the listing with the next lowest CPC; and b) Publisher will in no way manipulate the Paid Listings to deliver LookSmart’s Paid Listings in a position below or less favorable than Listings with CPCs lower than the Paid Listings.

• You will not use any MoPub Materials in connection with any Publisher Network, or part of Publisher Network, that is distributed or otherwise made available to any countries, entities, or individuals subject to U.S. trade sanctions or other U.S. export control laws.

• Upon request and if applicable, You will reasonably assist MoPub in enforcing the MoPub Policies vis-à-vis third party applications and Advertisers within the Publisher Network.

• In the event of such a termination by Publisher, Network shall refund to Publisher any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination.

• You represent and warrant that (i) no application within the Publisher Network is a website or online service directed to children, as defined under the Children’s Online Privacy Protection Act (“COPPA”), and (ii) You will not transmit any “Personal Information” (as defined under COPPA) about or relating to an individual under the age of 13 to MoPub.

• As between the parties, except as set forth herein, You and Your licensors retain all right, title and interest in and to the Publisher Network, including all Intellectual Property Rights related thereto.

• Subject to the terms, limitations and conditions herein, LookSmart hereby grants to Publisher a non-exclusive license during the Term to publicly display, and allow third parties who operate sites on the Publisher Network to publicly display, Paid Listings in electronic form on the Publisher Network.

• Publisher’s obligations consist of distributing Ads provided by iQU on its Mediums and within the Publisher Network in accordance with these iQU T&C and the applicable Agreement, the applicable Insertion Order and, if provided to him, the Publisher Implementation Guide.

• Other than as set forth herein, Publisher shall be solely and exclusively responsible for the design, development, operation and maintenance of the Publisher Network and for all advertising, sponsorship or other use of the media contained therein.

• The parties wish to provide for a license to Publisher to display LookSmart’s Paid Listings on the Publisher Network sent by LookSmart in response to search queries, ad requests based on site pages, and other ad calls or requests for listings made by Publisher to LookSmart.
