PUC Application definition

PUC Application means any requisite application, petition, notice, or other request filed or to be filed with a PUC seeking PUC approval to effectuate any Restructuring Transactions contemplated in the Plan.
PUC Application has the meaning given in Section 6.1(c).
PUC Application shall have the meaning set forth in Section 2.1(c) of this Agreement.

Examples of PUC Application in a sentence

  • If the PUC issues an Unfavorable PUC Order or if a satisfactory PUC Approval Order is not obtained within twelve (12) months of the PUC Submittal Date, or within such longer period as Company and Seller may agree to by a written agreement (the “PUC Application Period”), Company or Seller may, by written notice delivered within one hundred eighty (180) Days of the Unfavorable PUC Order or the expiration of the PUC Application Period, declare this Agreement null and void.

  • No party hereto shall knowingly take, or fail to take, any action if the intent or reasonably anticipated consequence of such action or failure to act is, or would be, to cause any State PUC not to grant approval of any State PUC Application or materially delay either such approval or the consummation of the assignment of licenses and Customer Base of Sellers.

  • If at any time after the date of this Agreement, the PUC Application is denied in whole or in pertinent part, or a final decision and order issued by the Commission on the PUC Application is not a Commission Approval Order, then Buyer may immediately terminate this Agreement by providing prompt written notice of such termination delivered to Sellers, which notice shall include a reasonably detailed statement of the reason for such termination.

  • The Borrower shall have sole responsibility for, and shall timely satisfy, all terms and conditions imposed by the PUC or any other Government Authority in connection with the PUC Application or PUC Approval.

  • Closing is contingent upon the issuance of a decision and order by the Commission that (i) is final and reasonable and (ii) approves all of the relief requested in the PUC Application.

  • Diligently pursue PUC Approval and keep the Lender fully apprised of any communications received by or delivered to the PUC and any and all terms or conditions imposed, recommended or suggested by the PUC or any governmental authority with respect to the PUC Application.

  • Buyer and Sellers understand that lack of cooperation may result in Buyer's inability to file the PUC Application and/or a failure to receive a Commission Approval Order.

  • Sellers shall cooperate with Buyer’s reasonable requests for support of Buyer’s efforts to prepare and file the PUC Application and obtain the Commission Approval Order.

  • If the Closing shall not have occurred for any reason within any applicable consummation period relating to any State PUC's grant of any State PUC Application, and neither Purchaser nor the Sellers shall have terminated this Agreement pursuant to Section 8.1, Purchaser and Sellers shall jointly request one or more extensions of the consummation period of such grant.

  • Buyer shall notify Sellers in writing (the Buyer PUC Notice) within 10 Business Days of the filing date of a decision and order from the Commission finally adjudicating the PUC Application whether or not Buyer deems such decision and order to be a Commission Approval Order.

Related to PUC Application

  • FCC Applications means those applications and requests for waivers required to be filed with the FCC to obtain the approvals and waivers of the FCC pursuant to the Communications Act and FCC Rules necessary to consummate the transactions contemplated by this Agreement.

  • Permit Application has the meaning ascribed to it in Section 2.35.

  • Fee Application means an application for allowance and payment of a Fee Claim (including Claims for “substantial contribution” pursuant to section 503(b) of the Bankruptcy Code).

  • Uniform application means the current version of the national association of insurance commissioners uniform application for resident and nonresident insurance producer licensing.

  • Project Application means the federal Section 5311 operating assistance project application submitted by the Municipal Corporation to, and as approved by the Commissioner for the Project described in Appendix C of this Agreement, including all project supporting information submitted therewith.

  • Facility LC Application is defined in Section 2.19.3.

  • Licensed Application means an Application that (a) meets and complies with all of the Documentation and Program Requirements, and (b) has been selected and digitally signed by Apple for distribution, and includes any additional permitted functionality, content or services provided by You from within an Application using the In-App Purchase API.

  • Completed application means an application in the form and number and containing all the information required pursuant to 34 Administrative Code 9.1053 (Entity Requesting Agreement to Limit Appraised Value), that has been determined by the district and the comptroller to include all minimum requirements for consideration.

  • Electrostatic application means the application to a substrate of charged atomized paint droplets that are deposited by electrostatic attraction.

  • Request for Applications (RFA) means the document (including all amendments and attachments) issued by the System Agency under which applications for Program funds were requested, which is incorporated by reference for all purposes in its entirety.

  • Account Application or “Application” shall mean the application, as may be amended from time to time, by which this Agreement is established between the Depositor (or following the death of the Depositor, the Beneficiary) and the Custodian. The statements contained therein shall be incorporated into this Agreement.

  • Registration Application means an application for registration of this Agreement as a planning agreement on the title of the Land pursuant to Section 7.6 of the Act in a form approved by the Registrar General;

  • Mobile Application means a specialized software program downloaded onto a wireless communication device.

  • Customer Application means a software program that Customer creates or hosts using the Services.
