In consideration for the Purchased Energy delivered to Buyer pursuant to this Agreement, Buyer shall pay Seller the Energy Payment.

The Energy payment for each Delivery Month shall be equal to the product of the (i) Fuel Index times (ii) 7.5 MMBtu/MWh times (iii) the Purchased Energy ("Energy Payment").
Title to and risk of loss of Purchased Energy and purchased capacity provided in accordance with this Agreement shall transfer from REP to CUSTOMER at the Point(s) of Delivery.
REP warrants that it will deliver Purchased Energy and purchased capacity free and clear of all liens, security interests, claims and encumbrances or any interest therein or thereto by any Person arising prior to the Point(s) of Delivery.
In any Contract Year, if Seller delivers Purchased Energy in excess of one hundred and twenty percent (120%) of the annual Contract Quantity amount, the Contract Price for such Energy in excess of such one hundred and twenty percent (120%) shall be adjusted to be seventy-five percent (75%) of the applicable Contract Price.
