Purchased Energy means all of the electric power and energy associated with Aztec’s Full Requirements, as measured at the Metering Equipment, that are in excess of (i) the power and energy that Aztec purchases from WAPA pursuant to the WAPA Agreement, as evidenced by the historical allocation set forth in Exhibit B, (ii) the power and energy generated and delivered to Aztec by the Project, and (iii) the power and energy generated and delivered to Aztec by the Aztec Additional Generation.

Purchased Energy means 100% of the total Energy generated by the Facilities and measured at the Electric Interconnection point for each location described in Exhibit B.

Purchased Energy means Scheduled Energy, up to and including an amount equal to the least of (i) the Buyer’s Percentage Entitlement of the Metered Output, (ii) Buyer’s Percentage Entitlement of the Scheduled Energy or (iii) the Contract Maximum Amount in any hour.

• In consideration for the Purchased Energy delivered to Buyer pursuant to this Agreement, Buyer shall pay Seller the Energy Payment.

• The Energy payment for each Delivery Month shall be equal to the product of the (i) Fuel Index times (ii) 7.5 MMBtu/MWh times (iii) the Purchased Energy ("Energy Payment").

• Title to and risk of loss of Purchased Energy and purchased capacity provided in accordance with this Agreement shall transfer from REP to CUSTOMER at the Point(s) of Delivery.

• REP warrants that it will deliver Purchased Energy and purchased capacity free and clear of all liens, security interests, claims and encumbrances or any interest therein or thereto by any Person arising prior to the Point(s) of Delivery.

• In any Contract Year, if Seller delivers Purchased Energy in excess of one hundred and twenty percent (120%) of the annual Contract Quantity amount, the Contract Price for such Energy in excess of such one hundred and twenty percent (120%) shall be adjusted to be seventy-five percent (75%) of the applicable Contract Price.

• The payment for Self-Provided Ancillary Services shall equal the product of $______/MWh times the Purchased Energy ("Self-Provided Ancillary Services Payment").

Purchased Energy means, in any Delivery Month, the Energy (expressed in MWh) delivered by REP to the Point(s) of Delivery to serve the CUSTOMER Load as metered by the TDSP serving the CUSTOMER and as determined by ERCOT or such distribution utility.

Purchased Energy has the meaning set forth in Section 4.1(c).
