Purchased Product definition
Purchased Product means barrels of petroleum product and therms of gas which any Borrower holds in inventory or which any Borrower has contracted to purchase (whether by purchase of a contract on a commodities exchange or otherwise) (and, which for the avoidance of doubt includes product in pipelines) and with respect to which (a) either (i) a fixed purchase price therefor has been agreed upon by the seller thereof and the relevant Borrower or (ii) the date (the so-called “Vessel Loading Date”) on which the cargo has been loaded has occurred and (b) the delivery date therefor is scheduled to occur within 180 days after the date of calculation.
Purchased Product means Product purchased by Buyer in accordance with the acceptance procedures under Section 4.1.
Purchased Product means barrels of Petroleum Product and therms of gas that the Borrower or any Restricted Subsidiary holds in Inventory or which the Borrower or any Restricted Subsidiary has contracted to purchase (whether by purchase of a contract on a commodities exchange or otherwise) (and, which for the avoidance of doubt includes product in pipelines) and with respect to which (a) a fixed purchase price therefor has been agreed upon by the seller thereof and the Borrower or such Restricted Subsidiary and (b) the delivery date therefor is scheduled to occur within 180 days after the date of calculation.

Seller shall perform such detailed inspections and tests of each Purchased Product as are necessary to ensure that such Product complies with the requirements of this Agreement.
In the event that, after the Closing, any such lienholder asserts any Encumbrance or security interest in the Purchased Assets or the Purchased Product Inventory, Seller shall, upon written request from Purchasers, take all actions necessary to obtain a release from such lienholder of all such Encumbrances or security interests.

True and correct copies of all material Purchased Product Records have been made available to Buyer.
No Trademarks other than the Seller Trademarks and the Transitional Trademarks will be required to Exploit the Purchased Product Inventory on or following the Closing Date.

Purchased Product is defined as the infrastructure products as specified in Schedule 1.03(d) of the Agreement which are manufactured for Buyer in an external wafer foundry.
