Examples of Purchaser Claim in a sentence
If Purchaser is of the opinion that any Purchaser Claim (as defined below) has occurred, Purchaser shall so notify the Shareholder Representative (with a copy to the Escrow Agent), and each such notice shall be in writing and shall describe with reasonable specificity the nature and amount of such asserted Purchaser Claim.
Anything to the contrary contained elsewhere herein notwithstanding, in the event that any state or Federal income Taxes, penalties, interest or other charges are payable by the Surviving Corporation for any taxable periods ending on or prior to the Closing Date, the Surviving Corporation shall be entitled to indemnification for such amounts as if such amounts were an undisputed Purchaser Claim in accordance with the provisions of Article VII hereof.
Any such notice of any Purchaser Claim or Selling Party Claim is referred to in this Agreement as a "Notice of Claim".
Nothing in this Agreement will be deemed to require either the Trustee or the Bank Agent (a) to proceed against certain property securing any or all of the Bank Claim or the Purchaser Claim prior to proceeding against other property securing any such Claim or (b) to marshal the Collateral or the Purchased Property (as applicable) upon the enforcement of the Bank Agent's or the Trustee's rights or remedies under the Bank Loan Documents or Purchaser Documents, as applicable.
The Vendors shall not be liable for any Purchaser Claim unless the aggregate amount of its liability in respect of all Purchaser Claims exceeds S$5,000, in which case, the Vendors shall be liable for the entire amount of the Purchaser Claims and not just the excess.
