Seller hereby grants to Purchaser a perpetual, non-exclusive, worldwide, fully paid, royalty-free license under the Retained IP to make, have made, use, import, offer for sale, sell, lease, export, copy, modify, adapt, distribute (directly or indirectly), display and perform the Acquired Products, including all Improvements thereto, within the Purchaser Field of Use.
Such training shall include, but is not limited to, Purchaser sales, Purchaser Field Sales Engineers, and Technical Support courses.

As of the Closing Date, Seller grants to Purchaser and its Affiliates a non-exclusive, worldwide, irrevocable, perpetual, fully paid-up, non-sublicensable (other than pursuant to Section 2.5), non-assignable (other than pursuant to Section 5.3), royalty-free license, solely within the Purchaser Field, to use, make, have made, sell, offer or import any product, process or service, under the Licensed Patents.
Purchaser may sublicense rights granted pursuant to the terms of Section 2.1 and Section 2.3 to third parties (including their customers or service providers) only in connection with products, processes or services (or any components thereof) owned or controlled by Purchaser and its Affiliates to the extent within the Purchaser Field.
Under its and their Database Rights in and to the Business Technology, other than such Database Rights constituting Transferred Intellectual Property Rights, to extract data from the databases included therein and to re-utilize such data (and Improvements thereof prepared by or on behalf of Purchaser ) solely to design, develop, manufacture and have manufactured (subject to Section 3.3), sell and support Purchaser Products in the Purchaser Field.
The Contractor and its subcontractors and all Persons acting on its or their behalf must comply with all applicable exchange control laws of Equatorial Guinea.
