Purchaser Meeting definition
Purchaser Meeting means the special meeting of Purchaser Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of this Agreement, to be called and held to consider the Purchaser Shareholder Resolution.
Purchaser Meeting means the special meeting of holders of Purchaser Shares to be held by the Purchaser with respect to approval of: (i) the Name Change; (ii) the Consolidation; (iii) the size of board of directors of the Purchaser and the election of the 9296 Nominees, effective as of Closing; (iv) the Fundamental Change of the Purchaser; and (v) to the extent required, the adoption of new by-laws, an omnibus equity incentive plan, or such other matters as deemed necessary or desirable by the Purchaser or the 9296 Nominees, each acting reasonably.
Purchaser Meeting means, if required pursuant to applicable Law including the policies of the TSX, a special meeting of the holders of Purchaser Common Shares, including any adjournment or postponement of such meeting, to be called and held to consider approval of the issuance of Purchaser Common Shares pursuant to the Arrangement and the approval of any matters incidental or necessary to complete the Arrangement and the Proposed GUY Acquisition .
Examples of Purchaser Meeting in a sentence
If such notice is delivered prior to the date of the Company Meeting or the Purchaser Meeting, as the case may be, the Company (in the case of the Company Meeting) or the Purchaser (in the case of the Purchaser Meeting) may postpone or adjourn such meeting to the earlier of a date that is five business days prior to the Outside Date and the date that is 15 business days following the delivery of such notice.
