Purchaser Meeting definition

Purchaser Meeting means the special meeting of Purchaser Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of this Agreement, to be called and held to consider the Purchaser Shareholder Resolution.

  • Each of the Securityholder and the Company hereby consents to the disclosure of the substance of this Agreement in any press release or any circular relating to the Purchaser Meeting and the filing of a copy thereof by the Purchaser at xxx.xxxxx.xxx.

  • The Purchaser Shareholder Resolution shall have been approved and adopted by the Purchaser Shareholders at the Purchaser Meeting in accordance with applicable Law and the CBG Group Agreements.

  • If such notice has been given prior to the making of the application for the Final Order or the date of the Nomad Meeting or the Purchaser Meeting, such application and/or such meetings, unless the Parties otherwise agree, will be postponed or adjourned until the expiry of such period (without causing any breach of any other provision contained herein).

  • The Purchaser Resolution has been approved by the Purchaser Shareholders at the Purchaser Meeting.

  • If the Purchaser Board makes a Purchaser Change of Recommendation, it will not alter the obligation of the Purchaser to submit the approval of the Purchaser Shareholder Approval at the Purchaser Meeting to consider and vote upon, unless this Agreement shall have been terminated in accordance with its terms prior to the Purchaser Meeting.

  • If, for any reason, any amendment or supplement to the Purchaser Meeting Notice and Purchaser Circular is required to be published or posted (as the case may be) or an announcement is required to be made, the Company undertakes to comply with the remaining provisions of this Section 4.5 mutatis mutandis in respect of such amendment or supplement to the Purchaser Meeting Notice and Purchaser Circular.

Related to Purchaser Meeting

  • Shareholder Meeting means an annual general meeting of shareholders or special meeting of shareholders of the Company called for the purpose of electing directors to the board of directors of the Company.

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;
