Purchaser Offer has the meaning set out in Section 9.2(a).

Examples of Purchaser Offer in a sentence

  • At the Purchaser Closing, the Corporation and/or the Other Purchaser, as the case may be, upon receipt of proper tender of the Purchased Shares, shall tender full payment of the Purchaser Offer Price in conformity with the Purchaser Offered Terms as set forth in the Purchaser Notice of Right of First Refusal.

  • During a period of 10 business days after such written notice is received by the Company, the Company shall have the exclusive right to accept the Purchaser Offer to purchase the Shares covered thereby at the cash price and otherwise upon the terms and conditions of the Purchaser Offer.

  • In addition, the Company shall furnish as soon as reasonably practicable to the Purchaser all reasonable information concerning the Company, its affiliates and their businesses requested by the Purchaser or the Independent Expert that is required by applicable French laws and regulations to be included in the Purchaser Offer Documents and in any correspondence between the Purchaser and the AMF in respect of the Offer.

  • If the Company does not exercise its right of first offer hereunder or if the Company fails to purchase such Shares within 20 business days after it has accepted the Purchaser Offer (other than by reason of Purchaser's failure to comply with its obligations under any purchase agreement with respect thereto), Purchaser shall be free, for a period of 90 days, to sell such Shares to any other party at the same or higher cash price and upon the same terms and conditions specified in the Purchaser Offer notice.

  • Such written notice shall specify the number of Shares offered to be transferred and the terms and conditions of the Purchaser Offer.

  • The Purchaser shall prepare the Purchaser Offer Documents in compliance with applicable laws and regulations and no later than ten (10) Business Days prior to any filing with the AMF, shall provide the Company with a reasonable opportunity to comment thereon and the Purchaser shall consider in good faith any reasonable comments thereon.

  • Tenant shall have fifteen (15) business days from the date of the Purchase Offer Notice to notify Landlord, in writing, that Tenant desires to purchase the Demised Premises on the terms and conditions set forth in the Purchaser Offer Notice.

  • The Purchaser will have the right to amend the terms of the Purchaser Offer Documents after they are filed with the AMF to the extent required to reflect comments from the AMF or as it determines to be appropriate; provided that the Purchaser will consult with the Company with respect to any such amendments and will consider in good faith any reasonable comments of the Company thereon.

  • If the Company accepts the Purchaser Offer, the closing of the purchase and sale of the Offered Shares subject to the Purchaser Offer shall take place at the principal offices of such Purchaser or at such other place on which such Purchaser and the Company may agree, on the closing date specified by the Company in its written acceptance or such other date on which such Purchaser and the Company may agree.

  • Each Purchaser shall be acting independently in determining whether to make a Purchaser Offer and the terms thereof.

  • Market Seller Offer Cap means a maximum offer price applicable to certain Market Sellers under certain conditions, as determined in accordance with Tariff, Attachment DD. section 6 and Tariff, Attachment M-Appendix, section II.E.

  • Purchaser/ User means ultimate recipient of goods and services

  • Takeover Offer means an offer in accordance with Section 3.6 for the entire issued share capital of Allergan (other than any Allergan Shares beneficially owned by AbbVie or any member of the AbbVie Group (if any) and any Allergan Shares held by any member of the Allergan Group) including any amendment or revision thereto pursuant to this Agreement, the full terms of which would be set out in the Takeover Offer Document or (as the case may be) any revised offer documents.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Additional Purchased Securities Securities provided by Seller to Buyer pursuant to Paragraph 4(a) hereof;

  • Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Tender Offer Date means, in respect of a Tender Offer, the date on which voting Shares in the amount of the applicable percentage threshold are actually purchased or otherwise obtained (as determined by the Calculation Agent).

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Purchaser Parent has the meaning set forth in the Preamble.

  • Purchaser Designee means each individual then serving on the Board of Directors pursuant to the exercise of the Purchaser’s rights pursuant to Section 4.07(a) and/or Section 4.07(e), together with any designee(s) of the Purchaser who is then standing for election to the Board of Directors pursuant to Sections 4.07(a) and (b) or who is being proposed for election by the Purchaser pursuant to Section 4.07(e).

  • Purchaser Board means the board of directors of the Purchaser;

  • Purchaser means the organization purchasing the goods.

  • Second Closing has the meaning set forth in Section 2.2.

  • Subsequent Closing has the meaning set forth in Section 3.2.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Principal Stockholder Transferee means any Person who acquires voting stock of the Corporation from the Principal Stockholder (other than in connection with a public offering) and who is designated in writing by the Principal Stockholder as a “Principal Stockholder Transferee.”

  • Selling Shareholder has the meaning set forth in Section 3.04(a).

  • Purchased Securities has the meaning assigned in the Terms;

  • Tender Offer Documents means the documents provided to the holders of the Auction Preferred Shares by or on behalf of the Fund in connection with the Tender Offer.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Selling Stockholder means any Stockholder owning Registrable Shares included in a Registration Statement.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Takeout Investor means any institution which has made a Takeout Commitment and has been approved by Buyer, in its sole and absolute discretion.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.
