Purchaser Public Documents means all forms, reports, schedules, statements and other documents filed by the Purchaser with the U.S. SEC or on SEDAR+, in each case since December 31, 2024;

Purchaser Public Documents means all forms, reports, schedules, statements and other documents which are publicly filed by the Purchaser on SEDAR pursuant to Canadian Securities Laws or which are publicly filed by the Purchaser pursuant to Australian Securities Laws, since January 1, 2020;

• Other than as expressly contemplated by this Agreement, there are no Material Contracts to which the Purchaser is a party, except as previously disclosed to the Target or as disclosed in the Purchaser Public Documents.

Purchaser Public Documents has the meaning ascribed thereto in Section 6(a) of Schedule E;
