Put Closing definition

Put Closing shall have the meaning set forth in Section 2.3.8.
Put Closing shall have the meaning set forth in Section 6.6.
Put Closing means one of the closings of a purchase and sale of the Put Shares pursuant to Section 2.3.

  • The foregoing representations, warranties and agreements are true, correct and complete in all material respects, and shall survive any Put Closing and the issuance of the shares of Common Stock thereby.

  • The closing (each a "Put Closing") for each Put shall occur on the date that both (i) the Company has delivered to the Investor all Required Put Documents, and (ii) the Investor has delivered to the Company such Put Dollar Amount and any Late Payment Amount, if applicable (each a "Put Closing Date").

Put Closing means the closing of the Company’s repurchase of this Warrant pursuant to Holder’s exercise of its Put Right, to be held at the principal office of the Company on such date as shall be set forth in Holder’s Put Notice, which date shall be not less than ten (10) days following the date of such Put Notice. Notwithstanding anything in this Warrant to the contrary, (1) upon Holder’s delivery of the Put Notice, but subject to the consummation of the Company’s repurchase of this Warrant at the Put Closing in accordance with the requirements of this Section 1.7, this Warrant shall cease to be exercisable for any Shares, and (2) upon the consummation of the Company’s repurchase of this Warrant at the Put Closing in accordance with the requirements of this Section 1.7, this Warrant shall terminate and be of no further force or effect.
Put Closing means the purchase and sale of the Put Shares made at the offices of Company, or at such other place as is mutually agreed upon by the Company and the Participant, on a date that is as soon as reasonably practicable following the Company's receipt of the Put Notice, but, subject to Section 4(b) above, not later than 120 days following the date of the Put Notice. The effective date of any Put Closing shall be the date on which the Company remits the Put Price to the Participant (or his or her legal representative, beneficiary or estate). Any dispute about the payment amount due with respect to any Put Shares shall not affect or change the effective date of any Put Closing under Section 4.
