The Master Collateral Account shall be maintained (i) with one or more Qualified Institutions, or (ii) as segregated trust accounts with the corporate trust departments of depository institutions or trust companies having corporate trust powers so long as each such institution has a credit rating for its unsecured long-term debt not lower than investment grade by Standard & Poor’s.
A list of eligible Qualified Institutions may be obtained upon request from COREL.
For the avoidance of doubt, the access rights provided under this Section 3 [Access Right] are only available to Member Institutions and Qualified Institutions, thus, not available to Member Institutions who have exercised an Opt-Out Right and the opt out is in effect, with the exception of Perpetual Access Rights, where eligible under Section 3.4 [Perpetual Access Rights].
Upon any such resignation or removal, such other Lenders shall appoint, on behalf of the Borrower and the Lenders, a successor Administrative Agent which appointment shall, provided no Default or Unmatured Default exists, be subject to the Borrower’s approval, which approval shall not be unreasonably withheld or delayed (except that the Borrower shall, in all events, be deemed to have approved each Lender and its Affiliates that are Qualified Institutions as a successor Agent).
In the case of Debentures held by Qualified Institutions on behalf of beneficial owners, the $25,000 limitation shall apply to each such beneficial owner and the death of such beneficial owner shall entitle a Qualified Institution to seek redemption of such Debentures as if the deceased beneficial owner were the record Debentureholder.
Eligibility for participation in the Programme is limited to Qualified Institutions.
Only Qualified Institutions, as defined in this Agreement, are eligible to participate in this Program.
Such Qualified Institutions, in their request for redemption on behalf of such beneficial owners, must submit evidence, satisfactory to the Trustee, that they hold Debentures on behalf of such beneficial owners and must certify that the aggregate requests for redemption tendered by such Qualified Institution on behalf of each such beneficial owner in the Initial Period or any Subsequent Period does not exceed $25,000.
Portico may Deliver the title and bibliographic and/or preservation metadata with respect to Archival Versions to Qualified Institutions and the general public at any time (e.g. to display a list of collections on Portico’s website).
Subject to these Terms and Conditions and the Qualified Institution's continued compliance with the Agreement, the purchase of a Software License shall entitle the Qualified Institution to receive free- of-charge electronic support (i.e., knowledge-base and other on-line tools) (“Academic Support”), which may not be able to resolve all problems or requests; COREL makes no commitment to resolve all problems or requests.
