Qualifying Option definition

Qualifying Option means an Option which, upon exercise, is eligible for the deduction pursuant to paragraph 110(1)(d) of the ITA.
Qualifying Option means an outstanding stock option agreement granted, either before or after the date hereof, to the Executive under any stock option or incentive plan of the Company, whether in existence on the date hereof or adopted by the Company after the date hereof, which agreement provides (either by its terms or by incorporation from such plan) for the acceleration of vesting, in whole or in part, upon a change-in-control, sale or similar event, as defined for purposes thereof (with respect to such Qualifying Option, a "QUALIFYING OPTION EVENT"), regardless of whether such Qualifying Option Event constitutes a Change in Control.
Qualifying Option means an option to acquire Shares which at the time it was granted meets the requirements of Schedule 5 and of which notice is given (in the form required or authorised by HMRC) to HMRC within 92 days after the date on which it is granted;

Examples of Qualifying Option in a sentence

  • Any Qualifying Option or Qualifying SAR shall be subject only to the requirements of Section 5.2.1 and 5.2.3 in order for such award to satisfy the requirements for “performance-based compensation” under Section 162(m) of the Code.

  • Any Qualifying Option or Qualifying SAR shall be subject to the requirements of Section 5.2.1 and 5.2.3 in order for such award to satisfy the requirements for “performance-based compensation” under Section 162(m) of the Code.

  • The eligible class of persons for Qualified Performance-Based Awards under this Section 5.2, as well as for a Qualifying Option or SAR, shall be officers and employees of the Corporation or one of its Subsidiaries.


More Definitions of Qualifying Option

Qualifying Option or "QUALIFYING STOCK OPTION" shall mean a nonqualified stock option granted under one of the Incentive Plans and evidenced in writing that provides (or is amended to provide) that the option may be Alternatively Exercised under this Plan; provided, however, that an option shall not be a Qualifying Stock Option if it will expire, by its terms, before the end of the six-month period commencing with the date that the Alternative Exercise Agreement is submitted to and received by the Company
Qualifying Option means a traded option or financial option as defined in section 144(8).
Qualifying Option means an NQSO option to acquire shares of Common Stock granted under the terms of this Sub-Plan which meets the requirements of Schedule 4.
Qualifying Option means an option which satisfied the requirements of paragraph 1 of Schedule 5 ITEPA.
