Vested Company Option definition

Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

Vested Company Option means any Company Option that shall have become vested on or prior to the Closing Date in accordance with the terms of such Company Option.

Vested Company Option means any Company Option (or portion thereof) that is vested immediately prior to the Effective Time, or vests as a result of the occurrence of the Effective Time.

Examples of Vested Company Option in a sentence

• Notwithstanding anything to the contrary herein, Parent will not assume any Vested Company Option, Vested Company RSU or Vested Company PSU.

• If such Person then complies with the remainder of Section 2.11(b), Parent or Paying Agent shall pay the applicable Merger Option Consideration to such former holder of such Vested Company Option.

• If (i) the number, type and rights of the shares of capital stock of the Company are not as set forth in Section 3.6, and/or (ii) the rights (whether options, warrants or any other rights) to acquire capital stock of the Company are not as set forth in Section 3.6, the consideration to be delivered in respect of a share of Company Common Stock and a Vested Company Option for which an Option Consent has been obtained (and accordingly, pursuant to Section 2.6) shall be adjusted downward as appropriate.

• For the avoidance of doubt, any Vested Company Option which has an exercise price per Common Share that is greater than or equal to the Per Share Common Stock Merger Consideration shall be cancelled at the Effective Time for no consideration, payment or right to consideration or payment.

• No interest shall be paid or will accrue on any cash payable to such former holder of Vested Company Option pursuant to the provisions of this Section 2.11.

More Definitions of Vested Company Option

Vested Company Option means any Company Option that, in accordance with the terms of the Equity Plan and the applicable grant agreement, including as a result of acceleration, will vest or be fully vested either prior to the Closing or as a result of the Merger.

Vested Company Option means any Company Option that shall have become vested on or prior to the Closing Date in accordance with the terms of the Share Incentive Plan and the applicable award agreement pursuant to which such Company Option was granted.

Vested Company Option means any Company Option that shall have become vested on or prior to the Closing Date in accordance with the terms of the Company Incentive Plan.

Vested Company Option means any Company Option (or portion thereof) that is not an Unvested Company Option.

Vested Company Option has the meaning set forth in Section 4.3(a).

Vested Company Option means any Company Option that is vested as of the Effective Time.”

Vested Company Option means each Company Option (or portion thereof) that is outstanding and vested as of immediately prior to the Effective Time and that has a per-share exercise price that is less than the Per Share Consideration Value.
