Qualifying Subscription definition

Qualifying Subscription means a subscription received by the Company from a Subscriber, which the Company intends to accept upon satisfaction of the escrow conditions contained in this Agreement.

Qualifying Subscription means a new Acuity product subscription referred by you in a Qualifying Period which: (a) is an Acuity subscription plan listed as an applicable subscription type in the Benefit Guide, (b) the referee is a first time subscriber to Acuity (c) the referee subscribes within 45 days of starting their trial and does not cancel their subscription within 30 days and (d) otherwise meets the rules and requirements stated in the Benefit Guide or elsewhere in the Referral Agreement. Qualifying Subscription means the execution, before the close of business on November 30, 2002, of subscription agreements (containing such terms as are reasonably acceptable to Creafund) with one or more bona fide investors providing for the issuance of $2,500,000 or more of equity of Voxware in one or more related financings.
