Rate Quotation definition

Rate Quotation is defined in Section 104 hereof.
Rate Quotation means a quotation of the rate at which three-month deposits in amounts of not less than U.S.$1,000,000 are offered by the Person quoting such rate to prime banks in the London interbank market, at approximately 11:00 a.m. London time on the applicable Reference Date, that is representative of single transactions at such time.

  • If on any Reset Determination Date only one of the Reference Banks provides the Calculation Agent with a Mid-Market Swap Rate Quotation as provided in the foregoing provisions of this paragraph, the First Reset Rate of Interest or the Subsequent Reset Rate of Interest (as applicable) shall be determined to be the sum of the relevant Mid-Market Swap Rate Quotation provided and the First Margin or Subsequent Margin (as applicable), all as determined by the Calculation Agent.

  • Neither party shall disclose the terms of this Agreement or the Rate Quotation to a third party except: 1) when disclosure is required by law, or 2) to third parties engaged to perform professional services for either party.

  • This Agreement, in coordination with Customer’s Rate Quotation, contains the entire understanding between the two parties with respect to the subject matter hereof and merges and replaces all prior negotiations, discussions, representations, warranties, promises, and agreements of the parties with respect to such subject matter, and cannot be amended except in writing and signed by an authorized representative of each party.

  • The rates for Services provided by ▇▇▇▇▇▇ Logistics, and the time such rates shall remain in effect, shall be set forth in the Rate Quotation.

  • Any notice required or permitted by this Agreement shall be given in writing, delivered by hand, by facsimile or mailed by first class air mail, postage prepaid to the addresses of ▇▇▇▇▇▇ Logistics and Customer set forth in the Rate Quotation.

  • All rates shall remain in effect for the term referenced in the Rate Quotation.

  • Upon receipt of a Fixed Rate Quotation Request, the Lenders may, but shall be under no obligation to, provide interest rate quotes specifying a fixed rate of interest for the Eurodollar Loan.

  • Promptly following receipt of an Fixed Rate Quotation Request, the Administrative Agent shall advise each Lender of the details thereof.

  • Neither Shipper’s Interest All-Risk Cargo Insurance nor Shipper’s Premium Insurance is available for certain less-than-truckload shipments (in which case the ▇▇▇▇▇▇ Logistics Rate Quotation will list the underlying carrier’s liability limits) or for the transportation of household goods.

  • If the Loan is a Eurodollar Loan, by written notice to the Administrative Agent, Borrower may, from time to time, request a quotation (a "Fixed Rate Quotation Request") from all of the Lenders for a fixed rate conversion with respect to the Loan.

  • Mid-Market Swap Rate Quotation means a quotation (expressed as a percentage rate per annum) for the relevant Mid-Market Swap Rate;

  • Full Quotation means, in accordance with the Quotation Method, each firm quotation obtained from a Dealer at the Valuation Time, to the extent reasonably practicable, for an amount of the Reference Obligation with an outstanding principal balance equal to the Quotation Amount;

  • Reference Government Bond Dealer Quotations means, with respect to each Reference Government Bond Dealer and any date of redemption, the arithmetic average, as determined by the Determination Agent, of the bid and offered prices for the Reference Bond (expressed in each case as a percentage of its nominal amount) at the Quotation Time on the Reference Date quoted in writing to the Determination Agent by such Reference Government Bond Dealer;

  • LIBOR Quoted Rate means, for any day, the rate per annum equal to the quotient of (i) the rate per annum (rounded upwards, if necessary, to the next higher one hundred-thousandth of a percentage point) for deposits in U.S. Dollars for a one-month interest period which appears on the LIBOR01 Page as of 11:00 a.m. (London, England time) on such day (or, if such day is not a Business Day, on the immediately preceding Business Day) divided by (ii) one (1) minus the Eurodollar Reserve Percentage.

  • Request for Quotation (RFQ) means the document(s) containing the Conditions of Quoting and Contract, the Annexure, Special Conditions of Contract (if any), Scope of Services, Response Schedules and any other document issued for the purposes of inviting Quotations for the Services.
