Real Goods or the "Company") for purposes of Rule 145 under the Securities Act of 1933, as amended (the "Securities Act"). Gaiam, Inc. ("Gaiam") and Real Goods have entered into an Agreement and Plan of Merger dated as of October 13, 2000 (the "Merger Agreement").
