Realization Percentage definition
Realization Percentage. – means a percentage representing the extent to which, if any, an applicable Eligible Employee has achieved his or her Individual Objectives for 2025, as determined by the Company in its sole and absolute discretion and communicated to such Eligible Employee after December 31, 2025; provided, however, that notwithstanding anything to the contrary contained herein, with respect to any Eligible Employee that is serving as an executive vice president, senior vice president or has been designated as the Company’s Principal Executive Officer or Principal Financial Officer (as defined under the Securities Exchange Act of 1934, as amended), such Eligible Employee’s Realization Percentage will automatically and without further action by the Company equal 100%.
Realization Percentage means, as of the date of a Realization Event, a fraction (expressed as a percentage) determined by dividing (i) the aggregate number of Investor Units (or Public Investor Securities, without duplication) transferred, exchanged or distributed in all Realization Events prior to and including such Realization Event, by (ii) the number set forth in clause (i) of this definition plus the total number of Investor Units (or Public Investor Securities, without duplication) beneficially owned by the Investor Group after giving effect to such Realization Event.

The Yield Realization Percentage shall be calculated by the Seller in a manner satisfactory to the Agent; provided that if the Agent disagrees with such calculation, then the Agent may re-calculate the Yield Realization Percentage, which calculation by the Agent shall be conclusive and binding absent manifest error.

Realization Percentage means the percentage of the Sponsor Purchasers' aggregate Shares that are deemed sold in the Liquidity Event or upon which cash proceeds are deemed realized in the Liquidity Event; provided, however, that in the case of a Qualified IPO, the Realization Percentage shall be the greater of (x) the percentage of the Sponsors Purchasers' aggregate Shares sold in the realization event and (y) 20%.
