Reasonable Endeavors definition

Reasonable Endeavors means that We have tried our best to make an informed decision with the information that is available to us at that particular point in time.
Reasonable Endeavors means, with respect to the efforts to be expended by Sublicensee to achieve any stated objective, the good faith, reasonable, diligent efforts to accomplish such objective which shall be at least equivalent to the efforts that a biotechnology company with similar resources would normally use to accomplish such objective under similar circumstances for other products at a similar stage in development or product life and of similar market potential as Licensed Product.
Reasonable Endeavors means taking steps that a prudent, determined and reasonable person, acting in its own interests and enthusiastic to achieve a given result, would take. A party that has assumed a “Reasonable Endeavours” obligation that has a number of reasonable courses which could be taken to achieve that aim, need only pursue one course (when only following one of a number of possible courses, the Contractor shall invite the Council to select which one it prefers and the Contractor shall follow the Council’s choice).

Reasonable Endeavors means the application of ongoing, consistent, diligent efforts and resources by Licensee, Novo or another Sublicensee to Develop and Commercialize one or more Institute Licensed Products. Notwithstanding the foregoing, to the extent that the performance of a party’s responsibilities to use Reasonable Endeavors is adversely affected by another party’s failure to perform its related responsibilities, such party will not be deemed to have failed to use its Reasonable Endeavors in performing such responsibilities.
