Recalled Shares definition

Recalled Shares means the 535,706 Collateral Shares that have been credited to the Collateral Account since the Effective Date and remain so credited as of the close of trading on the Exchange on the Scheduled Trading Day immediately preceding the date of this Amendment. For further clarity with respect to the foregoing, (i) Dealer shall not have the right to sell, pledge, borrow, lend, rehypothecate, assign, invest, use, commingle or otherwise dispose of, or otherwise use in its business any Recalled Share without Counterparty’s prior written consent and (ii) for purposes of the provisions opposite the captions “Loss of Stock Borrow” and “Increased Cost of Stock Borrow” in the Confirmation and the related provisions of Section 12.9 of the Equity Definitions (including, without limitation, the determination of the number of Hedging Shares), the Hedging Party will determine the number of Shares that it deems necessary to hedge the equity price risk of entering into and performing its obligations with respect to the Transaction on the basis of the Transaction as a whole.

Examples of Recalled Shares in a sentence

  • As contemplated pursuant to the second paragraph under clause (c) opposite the caption “Collateral” in the Confirmation, Counterparty hereby revokes the Rehypothecation right of Dealer with respect to the Recalled Shares (as defined below).

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Restricted Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.

  • Sold Shares shall have the meaning specified in Section 6.

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Amalco Shares means common shares in the capital of Amalco;

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.
